General Summary

The Vice President and Deputy General Counsel (“DGC”) is responsible for overseeing and managing the day-to-day operations and proper functioning of the WellSpan Health Office of General Counsel (the “OGC”), including providing direct supervision for the OGC staf, developing and overseeing the OGC budget, and providing legal advice and counsel to WellSpan Health board members, senior leaders, management, physicians and other staff.

The DGC will (i) work closely with the Senior Vice President and Chief Legal Officer to develop and implement the strategic and tactical plans of the OGC, including supporting a culture of informed decision making and risk mitigation; (ii) oversee assignment of matters to OGC attorneys and staff and serve as a mentor for OGC team members, emphasizing serving as trusted advisors who understand the business of WellSpan Health and are viewed as proactive problem solvers positioned to help business leaders develop solutions; and (iii) function as a practicing attorney, providing advice and counsel, reviewing and drafting documents, negotiating with third parties, interacting with regulatory agencies, and serving on committees and boards of WellSpan Health and the entities controlled by WellSpan Health (the “Health System”) as requested.

The DGC will actively cultivate relationships with key stakeholders, select and manage outside counsel, and establish and enforce OGC policies. If the Chief Legal Officer is absent, the DGC will act with the authority of a chief legal officer.
 



Responsibilities

Duties and Responsibilities
 

  • In collaboration with the Chief Legal Officer, determines staffing and resources required for the efficient functioning of the OGC. Supervises and mentors other members of the OGC, including overseeing assignment of legal work.
  • Provides legal counsel, representation, and oversight on the wide range of legal matters affecting the Health System, including handling complex legal matters and projects, and selecting and managing outside counsel. 
  • Serves as a trusted and strategic advisor to WellSpan Health, hospital and service line leadership.  Provides guidance on significant legal and business priorities.
  • Participates in monitoring legislative and regulatory developments and provides education to board, management, physicians and other staff.
  •  Develops and monitors the OGC budget.
  • Maintains knowledge of, and provides legal advice related to, the full range of healthcare laws, including healthcare fraud and abuse laws, hospital/physician issues, complex contract negotiation and management, Medicare/Medicaid reimbursement issues, regulatory compliance, patient issues, employment law, contract law, nonprofit corporate governance, tax and medical staff issues.
  • Maintains professional affiliations and enhances professional growth and development to keep abreast of latest trends in field of expertise.
  • Provides outstanding service to all customers; fosters teamwork; and practices fiscal responsibility through improvement and innovation.
     


 

 



Qualifications

Qualifications

Minimum Education:

  • Doctor of Law (JD) Required

Work Experience:

  • 10+ years Healthcare law experience required
  • Corporate law experience required
  • In-house counsel experience preferred

Licenses:

  • Licensed Attorney in the state of Pennsylvania within 180 days of hire required
