Business Overview

Finance and Accounting provide business partnership and specialist accounting and financial analysis support to our investors and our internal teams through: Finance Strategy, Business Planning and Budgeting, Workforce Planning, Fund Accounting, Corporate Financial and Management Reporting, Corporate Tax and Regulatory Reporting, Accounts Receivable and Payable, and Procurement.

Corporate Services provides administration support to the business and manage our office facilities – along with reception, office services and client services.

Our Legal & Tax teams work with the business and our investors to provide support on our global products and services, and the markets in which we operate.

The Role

The role involves the maximisation of net returns to investors in relation to investments and sell-downs (in particular structuring, analysis of legal, regulatory and other risks related issues and execution), product development, fund raising and asset management. This role brings legal and commercial experience to act as a leader on legal issues in relation to Infrastructure transactions, infrastructure asset management, fundraising, investor relations and corporate matters. The role involves integration with the investment, asset management, investor relations and fundraising teams, in particular the Infrastructure and Asset Management teams located in NY, Houston, London, Continental Europe, Hong Kong and Melbourne.

 

Strategic Planning

  • As directed by Executive Director, Commercial (Legal):
  • Lead legal and regulatory work streams on Infrastructure transactions including negotiating NDAs, legal and regulatory diligence and review of transaction documents in consultation with advisors and external counsel.
  • Work with advisers and Infrastructure teams in Americas, EMEA and APAC to appropriately inform decision makers of relevant legal and regulatory issues.
  • Lead legal and regulatory work streams on asset management projects/ongoing asset monitoring 
  • Effectively and on a timely basis work with Infrastructure teams in Americas, EMEA and APAC through diligence to execution of transactions. 
  • Identify legal and regulatory issues and strategies and structures to mitigate risks associated with infrastructure investments.
  • Work with Infrastructure team on asset management issues, including disputes, as appropriate.
  • Manage legal and regulatory work streams on corporate projects including corporate contracts

 

Business Performance

  • Assist, as directed by Executive Director, Commercial (Legal) or Commercial (Americas), in new infrastructure product development, including management agreements.

 

Policy & Process Management

  • Provides subject matter expertise regarding legal terms and regulations, remaining constantly up-to-date on new procedures and regulations for legal documents and formats.
  • Provides expertise by constantly ensuring compliance with legal procedural requirements, deadlines and administrative priorities; troubleshoots and proposes improvements when deemed necessary.

 

Your Background and Experience

  • 8+ years’ experience gained at a top-tier law firm / in-house in M&A, Private Equity, Infrastructure/Projects or Project Finance.
  • Experience in M&A (including U.S. public company M&A) and/or projects, including an understanding of relevant documentation and structures.
  • Experience in cross-border transactions and working with a global team.
  • Experience working on transactions/bid processes.
  • Sound financial and commercial acumen.
  • JD from top-tier US law school.
  • Admission to NY bar in good standing with 8+ years’ experience.
  • May have post-graduate qualifications, including in finance.
  • Strong commercial mindset with the ability to interact successfully with business teams. 
  • In-depth understanding and knowledge of legal requirements as they relate to IFM Investors’ investment processes, public and private M&A transactions and the infrastructure asset class.

Other

  • Deep understanding of relevant legal documentation and concepts.
  • Extensive knowledge of relevant laws including the Securities Act of 1933, the Exchange Act of 1934, the Delaware General Corporations Law and the Delaware LLCA. 
  • Strong verbal and written communication skills.
  • Well-developed negotiating and drafting skills.
  • Ability to hold ground whilst influencing stakeholders (at all seniority levels).
  • Ability to make sensible and pragmatic decisions, and to understand the wider business context.
  • Possess a can-do, hands-on attitude.
  • Show strong initiative ─ ability to proactively identify issues and progress tasks. 
  • Ability to explain complex legal issues in a simple and effective manner to provide senior management with guidance on current and potential future laws, controls and regulatory requirements that impact IFM and its investors.
  • Ability to manage multiple major transactions or projects concurrently, delegating appropriately, managing time efficiently and effectively and focussing on the most critical issues and risks. 
  • Team player who is willing to assist others as/when required, and work collaboratively with the broader business.
  • Strong work ethic – ability to work to deadlines, under pressure and to manage multiple tasks/stakeholders.
  • Ability to identify what is important, and to focus on strategic / high impact tasks.

 

The anticipated base salary range for this position is listed below. Exact compensation amount may vary and will be determined by several components including but not limited to the individual’s experience, skills and qualifications. Total compensation for this role includes eligibility for a discretionary performance-based bonus.

$350,000 – $390,000
