Job Summary:  

The Senior Counsel - Procurement, occupies a mission-critical role within the Legal Department and serves as the principal attorney responsible for advising the company on the full life cycle of high-value sourcing, supply chain, and vendor-facing transactions, with particular emphasis on EPCA, OMA, TSA and SMA. Reporting directly to the US General Counsel Low Carbon Generation, the incumbent delivers sophisticated, business-centered legal guidance that protects the organization from undue risk while facilitating timely execution of essential commercial arrangements.

This position is based in Downtown Houston with a hybrid work model of 3 days in the office and 2 days from home.

Key Responsibilities:

Senior Counsel - Procurement provides a broad scope of support to the LCG legal department in support of Renewables NA.  The Senior Counsel - Procurement’s responsibilities include, among other things:

  • Drafting, reviewing, negotiating, interpreting, and, where necessary, enforcing complex procurement contracts that secure critical goods, services, technology, and infrastructure in support of ongoing renewables business.
  • Ensuring compliance with legal and industry standards. 
  • Identifying and mitigating contract risks, including legal, financial, and project-related risks. 
  • Ensuring compliance with all contractual obligations and deadlines. 
  • Providing legal guidance and support to project and procurement teams on contract-related matters. 
  • Managing contract changes and amendments as needed, and advising on claims, disputes, and terminations. 
  • Monitoring contract performance and addressing any issues that may arise. 
  • Collaborating with internal teams to ensure contracts are effectively managed.  
  • Other tasks and projects as assigned

Requirements:

  • Juris Doctorate from ABA accredited law school.
  • A minimum of 7 years of experience of progressively responsible experience in commercial contracting, at least five of which focus on large-scale procurement or supply chain transactions within a corporate legal department or an Am Law 100 firm.
  • Direct exposure to EPCA, OMA, TSA and MSA structures in renewables energy.
  • Strong communication skills and a proven ability to advise business managers on complex legal matters.
  • Proven responsibility and organizational and time-management skills.
  • Attention to detail and accuracy.
  • Excellent written and verbal communication skills.
  • Solid computer skills and in-depth knowledge of relevant software, such as MS Office Suite.
  • Integrity, good judgment and strong decision-making abilities.
  • Careful handling of confidential information.
  • Strong information-gathering and information-monitoring skills.
  • Initiative and flexibility; and
  • Respectful of others and having excellent teamwork skills.
