Azuria Water Solutions is looking for an experienced Legal Counsel.

Position Summary

The position is responsible for supporting the global legal needs of Azuria Water Solutions, Inc. (the “Company”), including dispute management, inured and non-insured claims management, collections, contract review and negotiation, problem solving and counseling on a wide variety of matters. The Legal Counsel also adheres to best practices for mitigating risk to Azuria and ensures that its rights and obligations are fulfilled.

Reporting StatusThis position will report directly to the Senior Legal Counsel.Supervisory Responsibility

No direct reports initially, but expect to supervise Contract Specialists as part of development.

Position Responsibilities & Accountabilities

Primary responsibilities include the following:

  • Prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, etc.
  • Where appropriate to protect the Company, suggests alternative provisions in contracts or subcontracts.  Negotiates with the other party to craft provisions that are acceptable to both the other party and the Company.
  • Examines case facts and law to determine advisability of defending or prosecuting lawsuits, claims, bond claims or liens.
  • Oversees outside attorneys who defend or prosecute any lawsuits, claims, mediations or arbitrations for which the Legal Counsel has primary responsibility.
  • Oversees and manages the budget for outside attorneys and expert witnesses for all matters for which the Legal Counsel has primary responsibility.
  • Gathers evidence and information to support management (legal and business) decision making.
  • Advises the business on government regulations and/or legal rights.
  • Works closely with the business units and finance personnel to review aged account receivables and assists with the collection of amounts owed to Azuria.
  • Contributes to special projects across Azuria and Azuria’s Legal Department.
  • Attends to miscellaneous legal questions and projects of the business units on a daily basis (as required).
  • Other duties as required.

Qualification Requirements:  To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.  The requirements listed below are representative of the knowledge, skills, and/or abilities required.  Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.

  • Education and/or Experience:  This position requires a Juris Doctor and current admission to a state bar association at the time of employment, and admission to the Missouri bar within six (months) of employment.  Additionally, a minimum of two (2) years of legal experience is required for this position. New law school graduates may be considered if they have prior work experience in a professional environment.  Experience in the construction industry may be helpful, but is not required. The ideal candidate will have three to five years experience in a fast-paced corporate legal department or a generalist background with both dispute resolution and transactional skills gained in a law firm.
  • Critical Thinking and Reasoning Skills:  Ability to read, analyze, and interpret complex documents.  Ability to respond effectively to highly sensitive inquiries or complaints.  Ability to make effective and persuasive presentations on controversial or complex topics to senior management. Ability to define problems, collect data, establish facts and draw valid conclusions.  Ability to interpret an extensive variety of legal concepts. Strong writing ability is desirable.
  • Construction Document Experience:  Ability to read, analyze and interpret drawings, specifications and other construction documents is desirable.  Ability to discuss the contents of these documents with engineers and Company personnel.  Ability to effectively communicate suggested changes or requests for clarifications.
  • Negotiation Skills:  Ability to negotiate with a wide variety of individuals and companies.   
  • Mathematical Skills:  Clear understanding of,  and the ability to work with, mathematical concepts. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.  Ability to create and edit spreadsheets using Excel.
  • Time Management and Initiative. The successful candidate will have a commitment to managing a diverse workload in a fast-paced environment and the ability to manage competing priorities on a daily basis.
  • Interpersonal Skills. The successful candidate will possess strong interpersonal and communications skills for cross-functional collaboration.
  • Proactive Problem-Solving and Business Acumen.

  • Physical Demands:  In the performance of duties for this position, the employee is:  regularly required to sit, talk, and hear; frequently required to use hands to finger, handle, or feel objects, occasionally required to stand, reach with hands and arms, climb or balance, and taste or smell; regularly lift and/or move up to 10 pounds (occasionally up to 25 pounds).  Vision abilities required by this job include close, distance, peripheral, and color vision, depth perception, and ability to adjust focus.  Ability for extended concentration.
  • Work Environment:  In performing the duties for this job, the employee will generally work in an office type environment but will occasionally be required to work in outside weather conditions (occasionally near job sites with moving vehicles and mechanical operations).  Will be occasionally exposed to fumes or airborne particles. The noise level is usually moderate. Travel by automobile and airplane required (an average of 1-3 nights per month).
