A top-10 AmLaw firm is seeking a driven Junior Corporate/Securities Associate Attorney to join its Investment Funds Group, focusing on public Real Estate Investment Trusts (REIT) capital markets. This role offers exceptional early-career experience for a junior associate looking to develop their expertise in securities and capital markets law within a high-profile, sophisticated practice. The position is based in Raleigh and offers a flexible hybrid work schedule.
Candidate Profile

JD from a top-tier law school with an excellent academic record.

Active Bar Admission in North Carolina, in good standing, or the ability to obtain admission by start of employment.

1–2 years of substantive experience at a large law firm in a corporate or securities practice.

Experience with capital markets, equity offerings, or advising public companies on securities law and corporate governance matters.

Familiarity or direct experience with REITs or real estate capital markets is strongly preferred.

Proactive, collaborative, and eager to learn in a fast-paced environment.

Soft Skills: Excellent analytical, writing, and communication skills; business acumen; and attention to detail.
Key Responsibilities

Assist in public and private equity offerings, including registration statements, prospectuses, and related documentation.

Support clients with ongoing disclosure obligations, including 10-Ks, 10-Qs, proxy statements, and Section 16 filings.

Provide guidance on SEC and exchange regulations, board governance, and internal policies.

Participate in calls and meetings with clients, regulators, and cross-office colleagues.

Support specialized matters involving REITs, including compliance and transactional support.

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $235,000 – $260,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
