
What you will be doing:
Working under the direction of the Assistant General Counsel or Deputy General Counsel, the Corporate Counsel I is responsible for providing legal support and day-to-day contracting needs for their assigned business unit. This position serves as the primary point of contact for certain internal clients and drafts, reviews, negotiates and approves (with specific guidelines) various types of commercial contracts including vendor agreements, licensing agreements, consulting agreements, software agreements, services agreements, business associate agreements, information security agreements, confidentiality agreements and various other legal documents for the company, its customers and business partners. Additional responsibilities may include contributing to the improvement of the contracting processes and development of agreement templates and conducting training sessions for business units on relevant legal matters.
The person in this role works collaboratively with moderate direction in a complex and fast-paced environment with various business teams and senior management and is responsible for providing legal guidance and risk assessment that is clear, actionable, and timely. This position interacts regularly with senior management, business partners, vendors, customers and opposing counsel on assigned matters. This role will require substantial interaction with Premier’s privacy and security teams.
Key Responsibilities
Responsibility #1 – 90%
• Draft, negotiate and review contracts and amendments prior to execution by management.
• Provide counsel to business unit leadership with respect to contractual and regulatory issues.
• Research legal issues and keep current with case law and court opinions.
Assist Associate General Counsel, Assistant General Counsel, Deputy General Counsel and Senior Corporate Counsel with transactional matters, template updates, special projects and governmental/media relations matters as needed.
Responsibility #2 – 10%
• Assist with risk management and litigation issues with outside counsel.
• Respond to inquiries from Premier customers and business partners
Required Qualifications
Work Experience:
Years of Applicable Experience - 5 or more yearsEducation:
Juris Doctorate (Required)

• Drafting and negotiating legal documents

• Organizational and time management skills
Experience:
• Bar member
• Extensive knowledge of commercial contract law and corporate law
• Have demonstrated ability to work independently and accurately under tight deadlines with strong attention to detail
Education:
Top 25% of class preferred
