About the role:
SBIA is seeking a versatile and business-oriented transactional attorney to join its corporate legal team. The ideal candidate should feel comfortable providing investment and functional teams with expert legal advice on a variety of issues, primarily focused on management of the SoftBank Vision Fund investment portfolio and general investment company operations. This position will require the ability to form strong partnerships and working relationships with all levels, across all business functions. We’re looking for someone who is eager to learn, who is always looking for a better way to get to the right answer, and who is able to make good decisions under pressure and in a high-volume role.
Key Responsibilities:
- Providing legal advice to investment and functional teams related to SoftBank Vision Fund portfolio companies, including:
- reviewing board and shareholder requests and materials
- managing investment risk and advising on corporate governance practices
- creating and implementing processes for fund portfolio management
- helping to manage portfolio company transactions and inflection points such as follow-on investments, secondary transactions, IPOs, M&A exits, and restructuring scenarios
- collaborate with and supervise outside counsel as needed
- The role will also involve a variety of other traditional in-house projects and workstreams, which may include:
- negotiating commercial contracts
- negotiating non-disclosure and non-reliance agreements
- working on reporting, training and legal operations, and legal data governance
- The role will also contribute to live transactional matters within the SoftBank universe
Requirements:
- Excellent business and legal judgment, and interpersonal skills
- JD/Law degree from a top-tier program
- 3-6 years of elite transactional law firm experience, preferably with emerging and high-growth technology companies and venture capital funds
- Engages and works effectively with business executives and functional teams, including providing clear verbal and written advice
- Ability to manage multiple projects with competing priorities across geographies and time-zones
- Ability to travel domestically and internationally as needed
Preferred Qualifications:
- Experience with venture and growth investments, private company corporate governance, M&A, IPO, and/or restructuring transactions
- Experience in AI, tech, life sciences, internet, mobile, media, and entertainment industries
