M&A/Private Equity Associate Attorney - New York

Our client, a prestigious Amlaw 50 firm, is seeking a talented Associate Attorney to join their distinguished Mergers and Acquisitions (M&A) and Private Equity Practice in New York. This is an excellent opportunity to work on some of the most high-profile and complex transactions across a range of industries within a top-ranked practice that is consistently recognized for its M&A deal activity globally.

• JD from a top-tier law school with a strong academic record.

• Active Bar Admission in New York.

• 3+ years of substantive experience in M&A and/or Private Equity transactions.

• Demonstrated experience leading or playing a key role in M&A/PE transactions in a law firm setting.

• Exceptional drafting, negotiation, and organizational skills.

• Proven ability to manage multiple transactions and deadlines in a fast-paced environment.

• Strong interpersonal and communication skills with a client-first mindset.

• Highly motivated team player with a strong work ethic and collaborative approach.

• Represent corporate clients, private equity sponsors, and portfolio companies in M&A and investment transactions.

• Advise on deal structuring, due diligence, negotiation, and execution of acquisition, disposition, joint venture, and investment agreements.

• Draft and negotiate complex transaction documents, including stock and asset purchase agreements, shareholder agreements, and related corporate documentation.

• Coordinate with tax, employment, regulatory, and other specialists to support deal execution.

• Serve as a point of contact for clients, providing practical guidance and strategic insight throughout the transaction lifecycle.
