Job Title: Legal Assistant / Corporate Paralegal

Responsibilities:
- Provide varied organization and assistance to senior corporate attorney on legal, administrative and paralegal matters
- Assist with Company’s annual Code of Ethics certification process, ESG disclosures and similar matters
- Assistance with the coordination of scheduling, materials and preparation for meetings of the board of directors and its committees
- Administrative assistance with phones, calendar, communications, departmental meetings, documents, travel and meals,
- Assistance with special events, social activities, morale boosting and charity events, newsletter and departmental activities, special projects and personal matters
- Manage expenses for attorneys and board and meeting coordination, legal administration and similar matters
- Assist with creation of Powerpoint presentations, speeches, bios and communications
- Review and process invoices and reimbursements, work with vendors and internal accounts payable department to manage timely payments
- Assist attorneys and paralegals primarily responsible for preparation of SEC filings (including 10K; 10Q; 8K; proxy; Section 16 filings; registration statements) and related processes
- Assist with attorneys and paralegals primarily responsible with public company minute books, stock transfer records, and miscellaneous corporate governance documents
- Draft correspondence to and liaise with Company’s stock transfer agent and assist with stock transfer administration and records
- Document review, drafting and preparing contracts, assistance with M&A and other corporate transactions
- Assist with electronic and physical legal filing systems
- Ad hoc support to the corporate legal group, including processing of nondisclosure agreements, legal entity formation and maintenance, mergers and acquisitions transactions, data rooms and other corporate matters
Qualifications:
- Strong organizational, interpersonal, communication and writing skills
- Confidence and ability to communicate with senior executives, directors and employees at every level
- Proactive, go getter, self-motivated and able to manage and organize an executive to assist with productivity and effectiveness
- Computer literacy and proficiency (MS Word, Excel, Outlook, Visio, Powerpoint and Adobe). Experience with and/or willingness to learn Diligent, Worvika, Section 16 filing software and similar is useful and may be required
- Team-oriented mindset and strong work ethic
- Ability to multitask and demonstrate flexibility and initiative under deadline pressure
- Ability to maintain confidentiality and exercise sound judgment and discretion
- Sense of humor, creativity and adventure required
- In-house legal assistant experience a plus
Educational Qualifications:
- Bachelor’s Degree and/or paralegal certification required
Salary: $ 50,000 Min - $60,000 Max
The actual base salary will be determined on an individualized basis taking into account a wide range of factors including, but not limited to, relevant skills, experience, education, and, where applicable, licenses or certifications held. In addition to base salary and a competitive benefits package, this position may be eligible for additional types of compensation including discretionary bonuses and other short- and long-term incentives (e.g., deferred cash, equity, etc.).
