JOB SUMMARY:
The Associate Corporate Counsel will support our legal team in matters related to contracts, compliance, mergers and acquisitions, and claims management. This role will work closely with business partners and senior legal leadership to manage agreements, ensure regulatory compliance, and support litigation and claims related legal matters.
ESSENTIAL JOB DUTIES:
- Draft, review, and negotiate a variety of contracts, including construction agreements, subcontracts, vendor agreements, and service contracts.
- Support M & A activities.
- Advise internal stakeholders on contractual obligations, compliance requirements, and risk mitigation strategies.
- Provide legal support related to construction projects, including risk allocation, change orders, claims, and dispute avoidance.
- Support operational compliance efforts related to federal, state, and local regulations.
- Assist with managing claims, disputes, and litigation matters.
- Review policies and procedures to ensure alignment with applicable laws and regulations.
- Conduct legal research and provide practical guidance on legal issues impacting operations.
- Maintain organized contract and matter files and track key deadlines.
- Other duties as assigned.
QUALIFICATIONS
The qualifications listed below are representative of the elements required to perform the job successfully, however in some cases, an equivalent combination of Education, Training, Certifications and Experience may meet the job qualifications.
Education, Training, Certifications:
- Juris Doctor (JD) from an accredited law school, required.
- Admission to practice in the State of Minnesota, required.
Experience, Knowledge, Skill Requirements:
- 3–6 years of relevant legal experience, in house experience highly preferred.
- Strong experience with contract drafting and negotiation.
- Working knowledge of construction law, including construction contracts and project-related issues, highly preferred.
- Experience supporting compliance initiatives and regulatory requirements.
- Managing data room and due diligence projects.
Communication Skills:
- Must have the ability to effectively read, write and communicate in English with employees and customers.
Systems and Software Skills:
- Proficient in Microsoft Office, including Word and Excel and contract management software, highly preferred.
Other Qualifications:
- Valid driver’s license with acceptable driving record required.
- Must be able to comply with SFPH’s Drug and Alcohol policy and Background screening requirements, which may also include customer specific requirements based on contractual agreement.
- Occasional travel required, up to 10%.

While performing the duties of this job, the employee is required to sit for long periods. Employee will occasionally be required to bend, kneel, balance, lift <20lb, walk, stand, ascend/descend stairs, drive, twist, and reach above and below shoulders.
Work Environment:
Employee will consistently be required to work indoors in an office setting, work alone and with others. Office settings are mild to moderate temperatures.
