The Senior Corporate Counsel position within the Omnicell Legal team will negotiate contracts for Omnicell’s North America complex commercial offerings.  Working alongside Omnicell’s highly skilled North America Commercial Contracts team, the Senior Corporate Counsel will lead commercial negotiations for sales groups, collaborate closely with internal deal teams, and receive mentorship from the team for continued professional development and growth. The Senior Corporate Counsel will also play an important role in helping to build and maintain efficiencies within the contracting process and providing training to the sales team on legal and contract topics.  

Responsibilities:
•    Lead review, drafting, and negotiation of all types of agreements, including master agreements, letter agreements, amendments, statements of work for hardware and software offerings, XaaS offerings, SaaS offerings, and confidentiality agreements.
•    Partner with and advise internal stakeholders (e.g., Sales and management) of contractual rights and obligations and provide plain-language interpretation of terms and conditions and risks.
•    Prepare contracts independently and in coordination with the Legal team, sales, and other stakeholders to manage workflow and ensure contracts are timely and accurately completed. 
•    Ensure that negotiated contracts adhere to Omnicell’s established risk profile for commercial terms. 
•    Understand the operations of internal business partners and the strategic goals of the company and oversee the drafting and negotiation of legal documents accordingly.  Keep Legal/Sales/Operations/Finance/Management personnel apprised of legal and regulatory issues and concerns, contract negotiations and negotiated terms.
•    Interface with various internal business units (Finance, Accounting, Regulatory, Deal Desk, etc.) to ensure contractual documents are drafted correctly so that revenue can be recognized appropriately, and effectively manage relationships with those internal business units.
•    Maintain strong and effective relationships with internal stakeholders (e.g., Sales, Advanced Services, Marketing, IT, HR, Engineering, Manufacturing, Purchasing, Compliance, Finance, Revenue Recognition) and external clients/customers.
•    Identify opportunities to increase efficiency within the contracting process; build and maintain processes to improve efficiency.  
•    Provide training to sales and other internal departments on legal and contract topics. 
•    Serve as a mentor for less experienced attorneys on the team.

Required Knowledge and Skills:
•    Must have previous healthcare company experience or similar
•    Ability to think critically to identify issues and to offer pragmatic, actionable solutions
•    Excellent written and verbal communication skills 
•    Effective interpersonal, problem-solving skills and time management skills.
•    Strong contract negotiation skills, including a solid understanding of common legal and business terms and conditions and the ability to effectively explain one’s position to others
•    Ability to independently set and communicate aggressive, achievable, prioritized goals and timelines to internal customers regarding the delivery of contract documents
•    Ability to confront conflicts directly and respectfully
•    Capability to adapt quickly to new and evolving internal and business policies and procedures
•    Strong ability to balance the need for a rapid response with the need for accuracy and completeness of information
•    Outstanding judgment, and attention to detail and well organized
•    Proficiency with Microsoft Office Suite

Basic Qualifications:
•    J.D.; member in good standing of a state bar 
•    7+ years of experience drafting, reviewing and negotiation of complex commercial contracts 
•    7+ years of in-house counsel experience leading the drafting, reviewing, and negotiation of complex, customer-facing commercial contracts 
•    5+ years of experience collaborating with sales organizations in contract negotiations
•    5+ years of experience with complex technology transactions

Preferred Qualifications:
•    Experience working in a sales and service-focused fast-paced environment with quarterly/yearly deadlines
•    Experience working within fast-growing technology companies.
•    Experience working in a publicly-traded company
•    Healthcare equipment or healthcare technology industry experience 
•    Experience with a CRM system (i.e., Salesforce) and/or a contract management tool
•    Basic knowledge of data privacy laws, HIPAA and practices in a SaaS context involving the security and processing of customer data that may include PII and/or PHI.

Work Environment:
•    Remote work environment
•    Flexibility in working hours as needed
•    Occasional travel (e.g., legal team all hands meeting every other quarter, occasional provision of onsite training or occasional attendance at sales meeting)
