Position Summary:

We are looking for a highly motivated Senior Counsel to join our Legal Department to be the primary contact for legal advice and compliance obligations for Arrow’s Distribution Business.

Key Responsibilities:

· Reporting to the Chief Legal Officer, this position would serve as the primary in-house legal contact for Arrow’s affiliated distributor entities and paper consumables line of business (“Distribution Business”), which includes the sale of bingo paper, pull tab tickets and other charitable gaming products.

· Responsibility for contract review, regulatory advice and mitigating risks to maintain the Distribution Business’s overall ethical and legal integrity. 

· Review and become an expert in the laws, rules and regulatory requirements for the Distribution Business and stay up to date on the latest changes within the industry.

· Draft and negotiate the full range of business contracts for Arrow’s Distribution Business, including leases, terms of sale, purchase agreements, software licenses, consulting agreements, service agreements, statements of work and non-disclosure agreements.

· Assist with corporate governance and corporate policies for the Distribution Business, including implementing the Company’s anti-corruption policy training and due diligence process for new distributors, customers, suppliers and agents.

· Assist the Chief Legal Officer with human resources and employment law matters for the Distribution Business.

· Other duties as requested from time to time.

Qualifications:

· Juris Doctorate from an ABA accredited law school.

· Member in good standing of the Ohio Bar or ability to become a member of the Ohio Bar within a reasonable period.

· 3-5 years of comparable attorney experience as in-house counsel at a gaming company or distribution company.

· Ability to travel to Distribution Business locations on a regular basis.

· Requires complete discretion and ability to maintain confidential information.

· High attention to detail and ability to manage competitive priorities and deadlines.

· Demonstrates the ability to think and work independently and creatively.

· Excellent written and oral communication skills and ability to work with all levels of management, including the executive team.

· Ability to develop and implement effective procedures and improvements.

· Ability to meet deadlines and report progress or concerns to the Chief Legal Officer in a timely manner.

· Ability to work in the office with limited direct supervision and respond promptly to all requests.

· Excellent interpersonal skills, ability to work well in teams, sound legal judgment and strong work ethic required.
