Hiring Manager:

Structured Products & Treasury Senior Counsel

Department:

Legal & Compliance

Position Responsibilities

This attorney will assist with supporting all activities where the Firm is borrowing money through securitizations, lending facilities, total return swaps, capital call lines or otherwise and where the Firm is engaging in derivative transactions. The primary responsibilities of this position include:

  • Debt Financing Compliance
  • Advising Treasury Team regarding analysis of borrowing representations, warranties and covenants
  • Monitoring compliance with the following in connection with financing transactions:
    • Representations, warranties and covenants
    • U.S. and EU Risk Retention agreements and undertakings
    • Process and procedures for regulatory requirements
  • Advising Treasury, Accounting and other departments on questions related to contractual compliance and asset eligibility
  • Debt Fundraising Materials Compliance
    • Serving as Structured Products subject matter authority in marketing material content review
  • Coordinating regulatory filings and procedures related to Firm’s use of derivative instruments
  • Maintaining client structure and financing documentation databases
  • Negotiating non-disclosure agreements with financing counterparties and investors
  • Borrowing and Securitization Transaction Execution
  • Assisting Structured Products Legal Team in managing the legal process associated with securitizations, fund finance and asset backed external credit facilities and derivative transactions and coordinating transaction timing with external counsel and other third parties
  • Coordinating with Structured Products, Treasury and Operations to ensure the smooth pricing and closing of all credit facilities
  • Providing leverage to Structured Products Legal Team in connection with credit facilities and derivative transactions
  • Assisting with legal cost allocation and billing procedures

Candidate Requirements

Qualifications & Experience:

  • JD degree from a top tier institution
  • Admitted to practice law in one or more relevant jurisdictions
  • 3 years of relevant experience, ideally including experience at a top tier law firm 
  • Experience on securitization financing transactions
  • Abide by our work-in-office policy then in effect
