We are looking for a Paralegal to join Snowflake’s Corporate Legal team. This role reports to our Director, Assistant General Counsel - Corporate and Securities and is an in-person role based in Dublin, CA. This is not a remote position.
As part of the Corporate Legal team, you will be involved in a range of public company processes, primarily in corporate governance, securities law compliance and equity plan operations, in a fast-paced and collaborative environment.
RESPONSIBILITIES INCLUDE:Assist with preparing and distributing agendas, materials, and books for Board and Committee meetings, and driving related processes and communications
Support SEC, DGCL and NYSE compliance, including assisting with periodic reports (Forms 10-K, 10-Q, and 8-K), Section 16 reports (Form 3s and Form 4s), and our annual meeting/proxy process
Organize and maintain our corporate records
Maintain and update our quarterly corporate calendar
Prepare and review D&O questionnaires
Support compliance relating to corporate policies, including the Related Party Transactions Policy and Insider Trading Policy
Assist with SOX compliance, internal and external audits, and other special projects and announcements
Assist with equity plan administration, including equity matters related to Snowflake’s international subsidiaries and our monthly equity grant process
BA/BS
4+ years of corporate paralegal experience, with at least 2 years of public company corporate governance or securities experience
Experience working in-house at a public company and at a large law firm preferred
Proficient in G-Suite, Workiva, Microsoft Office (Word, Excel, and PowerPoint), Litera, BoardVantage (or similar Board portal software) and willingness and ability to learn how to use new tools
Excellent organizational skills, attention to detail, and time management, and ability to prioritize and own competing time-sensitive demands
Strong communication and collaboration skills, with the ability to build relationships across the business at all levels
Experience working on highly confidential matters responsibly and with discretion
Attitude that no project is too big or too small, enthusiasm for learning new things and improving processes, and sense of humor
