
Position Overview:
The Associate General Counsel will provide broad legal support across the organization, including contracts, regulatory compliance, government engagement, and corporate matters, all in support of building a sustainable and secure domestic neo magnet supply chain.
The Associate General Counsel will work closely with senior leadership and internal departments across multiple jurisdictions. The role requires a strategic legal thinker with strong analytical skills, the ability to navigate complex regulatory environments, and the flexibility to manage a diverse workload in a fast-paced, mission-driven organization.
Key Responsibilities:
· Transactional Support: Draft, review, and negotiate a wide variety of commercial agreements, including sales agreements, purchase orders, and terms and conditions.
· Regulatory Compliance: Advise on compliance with local, state, and federal regulations, including environmental, tax, and zoning laws.
· Government Relations: Support negotiation and review of government contracts and incentive agreements.
· Employment Law: Draft and review employment contracts and related documentation.
· Dispute Management: Assist with litigation, arbitration, and dispute resolution, in coordination with outside counsel.
· Corporate Governance: Partner with the Chief Legal Officer to support shareholder matters and board-related legal needs.
· Cross-Functional Collaboration: Work closely with internal teams, including operations, finance, HR, and external stakeholders, to provide strategic legal guidance.
· Team Management: Supervise and collaborate with a dedicated team of 1–2 experienced Paralegals.

Qualifications and Skills:
· Juris Doctor (JD) from an accredited U.S. law school.
· Admitted to practice law in at least one U.S. jurisdiction.
· 3-5 years of legal practice, with a strong emphasis on transactional law.
· In-house experience highly preferred, especially in manufacturing, energy, mining, or industrial sectors.
· Experience with government contracts, procurement, and environmental law is a plus.
· Strong drafting, negotiation, and communication skills.
· Ability to work independently and collaboratively in a fast-paced, evolving environment.
· Creative problem-solving skills and sound legal judgment.
· Commitment to professional integrity and business ethics.
