Role Overview:
We are seeking a Corporate Associate (2–4 years of experience) to join a high-performing corporate team. This is an immediate-need role for an attorney with a strong foundation in corporate transactional work, particularly sell-side M&A, who wants significant exposure to healthcare and defense contracting transactions.

Key Responsibilities:

Lead and support sell-side M&A transactions, typically opposite private equity buyers or PE-backed buyers.

Advise clients across industries, with a focus on healthcare (diagnostic labs, healthcare provider groups) and defense contracting.

Occasionally support hospital-related clients on regulatory healthcare matters.

Draft, review, and negotiate transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.

Conduct due diligence and provide strategic, business-minded advice throughout the transaction process.

Collaborate with partners and senior attorneys to manage deal execution and client relationships.

Provide legal guidance that aligns with clients’ commercial strategy and business objectives.

Compensation & Benefits:

Base Salary: Starting at $175,000+
