Corporate Associate Attorney
Location: Manhattan, NYC (Fully On-Site; 4–5 days/week)

Role Overview:
We are seeking a Corporate Associate (2–4 years of experience) to join a high-performing corporate team. This is an immediate-need role for an attorney with a strong foundation in corporate transactional work, particularly sell-side M&A, who wants significant exposure to healthcare and defense contracting transactions.

Key Responsibilities:

  • Lead and support sell-side M&A transactions, typically opposite private equity buyers or PE-backed buyers.

  • Advise clients across industries, with a focus on healthcare (diagnostic labs, healthcare provider groups) and defense contracting.

  • Occasionally support hospital-related clients on regulatory healthcare matters.

  • Draft, review, and negotiate transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.

  • Conduct due diligence and provide strategic, business-minded advice throughout the transaction process.

  • Collaborate with partners and senior attorneys to manage deal execution and client relationships.

  • Provide legal guidance that aligns with clients’ commercial strategy and business objectives.

  • Ability to work independently and collaboratively in a team.

  • Licensed to practice in relevant jurisdiction; NY or FL bar admission preferred.

Compensation & Benefits:

  • Base Salary: Starting at $175,000+ 

  • Performance-Based Bonus: 10–20%
