The Chief Litigation Counsel will manage and oversee all aspects of litigation involving the Electronics segment of DuPont de Nemours, Inc.
Dupont Electronics is a global leader for Electronic Materials including Semiconductor Solutions and Advanced Electronics Products and is contemplated to separate into an independent publicly traded company around November 1, 2025.
Electronics will be a leading global provider of differentiated electronics materials including key consumables used in semiconductor chip manufacturing, as well as advanced electronic materials enabling reliable signal integrity, power management and thermal management. The company will be well positioned to capture growth in the semiconductor industry, driven by high-performance computing demands from AI, high speed connectivity, smart and autonomous vehicles and the Internet of Things, among other mega-trend growth drivers.
Electronics will be comprised of the existing Semiconductor Technologies and Interconnect Solutions lines of business. These businesses will generate net sales of approximately $4B, $20B Market Cap, $23B Enterprise Value, 18 – 20x EBITDA multiple. Electronics will focus on innovation-based growth. With robust cash flow generation, Electronics will be well positioned to pursue ongoing organic growth initiatives and have flexibility to pursue inorganic growth opportunities.
Total employee population is ~10k with about half of employees in Asia. The company will be headquartered in Wilmington DE
This role involves overseeing a global team that provides legal counsel, develops litigation strategies, and ensures compliance with applicable laws and regulations. The Chief Litigation Counsel will work closely with internal stakeholders and external legal professionals to manage the risk associated with anticipated and pending litigation matters, ensuring alignment with company objectives and cost efficiency.
Key Responsibilities:
Litigation Management: Oversee the organization’s global litigation strategy, including evaluating potential cases and determining the best course of action.
Team Leadership: Lead and manage a team of internal attorneys and support staff, including providing guidance and mentorship.
Legal Strategy Development: Develop and implement legal and risk mitigation strategies that align with the organization’s business goals.
Risk Assessment: Identify, evaluate, and mitigate legal risks associated with ongoing litigation and potential claims.
Collaboration: Work closely with other departments, such as compliance, regulatory affairs, and human resources, to ensure a coordinated approach to litigation.
External Counsel Management: Manage relationships with external law firms and attorneys, including overseeing their work and controlling legal costs.
Policy Development: Develop and implement policies and procedures related to litigation and dispute resolution.
Trial Preparation: Oversee trial preparation, including witness preparation, document review, and strategy sessions.
Reporting: Provide regular updates and reports to executive leadership on litigation status and outcomes.
Qualifications:
Education: Juris Doctor (JD) degree from an accredited law school.
Experience: Extensive experience in litigation, at least 15 years, with a strong background in managing a large docket involving complex litigation cases.
Leadership Skills: Proven ability to lead a legal team and manage multiple complex cases and priorities effectively.
Communication Skills: Excellent written and verbal communication skills for effective reporting and presentation to senior management.
Analytical Skills: Strong analytical skills for assessing cases and developing litigation and risk mitigation strategies.
Ability to work independently and proactively with minimal direction.
Licensed member and in good standing of at least one state bar and eligible for admission on motion in Delaware required.
Preferred Qualifications:
Previous in-house counsel experience at a publicly traded company.
