Paralegal
Location: Minneapolis, MN
Position Summary:
We are seeking a Corporate Paralegal who will report to the General Counsel, Chief Compliance Officer. You will be responsible for supporting the Company’s legal team in corporate governance, securities law compliance, commercial contracts, and other legal, compliance, and administrative functions necessary for operating as a public company.
Responsibilities:
- Execute assigned work of the Legal Department, including drafting and review of confidentiality, Company template agreements, and other contracts as assigned.
- Support the general administration of the Legal Department.
- Manage Company contracts database including facilitating contract signing, filing and retention.
- Support as needed the assigned activities of the broader Finance team including facilitating legal assistance and general department administration.
- Assist in the administration of the Company’s Equity Program, including ensuring compliance with the Company’s Insider Trading Policy, reviewing and dispositioning Transaction Pre-Clearance Forms, managing trading windows, maintaining equity award documentation, and option and stock administration matters.
- Assist with the preparation and filing of SEC reports.
- Support board and committee governance activities including maintaining corporate records and board/committee minutes and resolutions. Support annual and quarterly meetings as needed.
- Assist in maintaining foreign corporate registrations and state boards of pharmacy licenses.
- Assist in ensuring compliance with state and federal laws and industry guidance, including the federal Sunshine Act and state drug price transparency and aggregate spend laws, FMV assessments related to HCP consultants, and participating as directed on the review of Company external communications.
- Conduct legal and factual research as needed.
- Process and track Legal Department invoices and assist in the annual budgeting process.
- Complete special projects that promote the effectiveness of legal operations and Company compliance, including records management and policy development.
- Develop and leverage collaborative relationships across the Company to provide guidance and support for activities to ensure the Company meets its legal and compliance obligations.
- Supports the corporate compliance activities of the Company as needed.
Qualifications:
- Bachelor’s degree and/or paralegal certificate with ten plus (10+) years relevant public company experience.
- Familiarity with securities laws, SEC filings, equity plan administration, and corporate governance matters.
- Experience supporting M&A transactions and financing activities.
- Strong analytical, organizational and drafting skills.
- Ability to work independently and collaboratively in a team environment.
- High level of discretion and integrity.
- Maintain a positive, approachable and professional attitude.

Its mechanism of action and pharmacokinetic properties are highly differentiated from other currently approved and investigational therapies that target PI3K or mTOR alone or together. Gedatolisib phase 3 clinical development programs are focused on the treatment of patients with HR+/HER2- ABC in the 1L and 2L settings. A Phase 1b/2 clinical trial evaluating gedatolisib in combination with darolutamide in patients with metastatic castration resistant prostate cancer, is on-going.

For this role, the anticipated base pay range is $110,000 - $130,000. The exact base pay offered for this role will depend on various factors, including but not limited to the candidate’s geography, qualifications, skills, and experience.
The successful candidate will be eligible for an annual performance incentive bonus and a new hire equity package. Celcuity also offers various benefits offerings, including, but not limited to, medical, dental, vision insurance, 401(k) match, PTO, and paid holidays.
