We're seeking a driven Associate Counsel to join our team. This role will be responsible for offering support to the legal and commercial team through the analysis of contracts, documents, draft elaboration, and sending extrajudicial notifications. Responsibilities include reviewing, drafting and negotiating contracts, analyzing leases, preparing documents, supporting the management of existing properties, managing litigation and supporting and advising on general company mattes. The position will ensure the legality of commercial transactions and advise our company on legal rights and duties.
This role has the opportunity to be HYBRID if located near San Diego or REMOTE based on candidates' location.
Primary Responsibilities:
- Prepare, draft, review and negotiate redlines with respect to all documents required for closing of various real estate and land use transactions (i.e. leases, easements, assignments, amendments, fee simple purchase agreements).
- Provide guidance and support to Sales and Site acquisitions teams in pursuit of new transactions.
- Provide guidance and support to Property Management teams who manage existing sites and assets.
- Analyze new potential site acquisitions from a risk management perspective in conjunction with underwriters as well as revenue enhancement opportunities for existing portfolio.
- Provide support, assistance and management with respect to transaction “closing” activities such as escrow, signing, recording, etc.
- Manage litigation and potential litigation matters in cooperation with Property Management teams, and internal as well as outside counsel.
- Participate in the coordination and organization of due diligence materials & provide transactional support.
- Provide guidance, advice, support and day-to-day management with respect to general legal activities of the company.
- Research, anticipate and guard company against legal risks.
- Guide managers and ensure compliance with rules and regulations.
- Structure, draft and review reports and other legal documents.
- Draft and administer all non-transactional contracts.
- Ad hoc projects as requested
Education:
- Juris doctorate from an accredited law school and an active member in good standing of the bar in a state or territory of the United States
Experience:
- Preferably 2-4 years of law firm or in-house experience in contracts, real estate, land use, transactional, business development, landlord/tenant, property management, telecommunications, and/or commercial transactions.
Technical Skills:
- Microsoft Office proficiency (Outlook, Excel, Word, PowerPoint), internet and database management
- Knowledge of additional languages (Spanish, French, Portuguese) a plus

Physical Requirements:

Salary Range: $110,000 - $140,000 + bonus potential
