Job Description:
We are seeking a skilled and proactive Corporate & Real Estate Paralegal to join our legal team supporting a dynamic healthcare organization. This hybrid role will provide critical legal support across both corporate governance and real estate operations, helping ensure compliance, efficiency, and strategic alignment with the company’s healthcare mission.
Responsibilities:
Real Estate Legal Support:
Draft, review, and negotiate commercial leases, subleases, amendments, and renewals for healthcare facilities including hospitals, clinics, medical office buildings, and administrative and storage spaces.
Prepare and manage real estate documents such as subordination, non-disclosure and attornment agreements, estoppel certificates, lease abstracts, tenant improvement agreements, and commencement date agreements.
Coordinate with internal stakeholders and external counsel on real estate closings, due diligence, and lease administration.
Track and manage critical lease dates, renewal options, rent escalations, and compliance obligations, including use restrictions, exclusivity clauses, and operational covenants relevant to healthcare operations.
Support real estate due diligence efforts, including document collection, review of property-level compliance, and coordination with third-party consultants. Assist with title and survey review, zoning analysis, and regulatory approvals related to healthcare real estate.
Maintain real estate databases and document management systems to ensure accurate and accessible records.
Collaborate with our partner practices and internally with facilities, finance, and operations teams to support real estate strategy and execution.
Corporate Legal Support:
Draft and maintain governance documents for our corporate entities, including articles of incorporation, bylaws, operating agreements, and shareholder/member agreements.
Prepare board and committee resolutions, written consents, and meeting minutes and other governance materials in accordance with the expectations of our internal stakeholders and capital partners.
Assist with entity formation, registration, and dissolution across multiple jurisdictions.
Maintain corporate records and minute books, in a manner consistent with the expectations of our internal stakeholders and capital partners.
Support corporate transactions such as mergers, acquisitions, joint ventures, and affiliations expanding our management services platform by bringing new practices into the OneOncology network as a partner practice or through incorporation into an already existing OneOncology practice or by our current partner practices expanding services lines.
Assist with due diligence processes, including gathering and organizing corporate documents and regulatory filings.
Other duties as assigned to help drive our mission of improving the lives of everyone living with cancer.
Preferred Skills:
Familiarity with healthcare compliance and regulatory frameworks.
Experience with Service Now, Contract Works and Lease Query preferred.
Strong attention to detail and ability to collaborate across departments.
Qualifications:
3–5 years of paralegal experience in both corporate and real estate legal environments, preferably within the healthcare industry.
Demonstrates deep knowledge of healthcare regulatory requirements and operational practices.
Ability to effectively manage shifting priorities and adapt to changing demands in a dynamic environment.
Must be meticulous, own assigned duties, manage a complex variety of tasks, and be able to work within a team setting. Ability to manage multiple priorities and work independently in a fast-paced, regulated environment.
Strong understanding of corporate governance and entity management in a healthcare context.
Experience drafting and negotiating real estate documents for healthcare facilities.
Excellent organizational, communication, and analytical skills.
Customer service mindset
Strong technical skills in Microsoft Office Suite (Word, Excel, PowerPoint)
Paralegal certificate or equivalent education preferred.
