Gulfport seeks a highly skilled and motivated Corporate Counsel to join its legal team. This position involves handling various legal tasks related to the company’s corporate and operational activities, such as securities filings, transactions, litigation, contracts, and legal docket management. Responsibilities may also include preparing correspondence, presentations, and reports. The ideal candidate will have experience with the oil and gas industry and a proven ability to provide legal counsel on transactions, regulatory compliance, contracts, and operational activities. This role will work closely with senior counsel and business leaders to support operations and ensure legal and regulatory adherence.

Key Responsibilities:

·         Provide legal analysis and counsel on transactions, including financings, acquisitions, divestitures, and joint ventures.

·         Assist in litigation management, such as responding to disputes, coordinating with external counsel on legal proceedings, docket management, and budgeting.

·         Draft, review, and negotiate various agreements, such as service agreements, drilling contracts, and lease agreements.

·         Ensure compliance with federal, state, and local laws/regulations impacting oil and gas operations.

·         Conduct legal research on issues, regulatory changes, and industry trends affecting business operations.

·         Support corporate governance initiatives and risk management strategies, as directed.

·         Advise internal stakeholders on environmental laws, permitting requirements, and land use issues.

·         Collaborate with cross-functional teams, including Finance, Accounting, Operations, Land, and regulatory departments to align legal strategies with business objectives.

·         Develop and deliver legal training programs to company employees as needed.

·         Other duties and responsibilities as assigned by department management.

Qualifications & Experience:

·         Juris Doctor (J.D.) degree from an accredited law school and active license to practice law.

·         3–7 years of relevant experience in oil and gas law, corporate law, or energy law.

·         Strong knowledge of oil and gas industry, drafting and negotiating agreements, regulatory compliance, and litigation management.

·         Excellent legal research, writing, and negotiation skills.

·         Strong interpersonal skills and the ability to build relationships with stakeholders, including team members, other employees, outside counsel, and clients.

·         Ability to work independently and as part of a team in a fast-paced environment.

·         Demonstrated ability to achieve performance goals and meet deadlines.

·         Strong problem-solving and organizational skills that reflect the ability to perform and prioritize multiple tasks seamlessly, with excellent attention to detail.

·         Ability to manage confidential information without issue.

·         Forward-looking thinker, who actively seeks opportunities and proposes solutions and efficiencies without prompting.
 

Preferred Qualifications:

·         Experience working in-house with an energy company or law firm specializing in oil and gas.

·         Admission to practice law in Oklahoma or Ohio.

·         Familiarity with federal agencies such as the Securities and Exchange Commission (SEC), Department of Interior (DOI), Department of Justice (DOJ), Environmental Protection Agency (EPA), and Federal Energy Regulatory Commission (FERC).

·         Strong transactional or litigation experience in the energy sector.

Work Environment:

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets, fax machines, iPads and iPhones.


Physical Requirements:

·         The ability to use a computer or phone for extended periods of time

·         Basic use of office equipment such as copier and fax machines

·         Ability to lift 10 pounds occasionally

·         Ability to concentrate

·         Ability to sit for long periods of time

·         Ability to bend or stand as necessary


Position Type and Expected Hours of Work:
This is a full-time position. Days and hours of work are generally 9 hours Monday through Thursday and 4 hours on Fridays but may vary due to the workload and needs of the company.

Travel:
Ability to travel occasionally.
