Legal Specialist, Corporate

Job Summary

The Legal Specialist collaborates directly with Equinix’s attorneys on various corporate law matters related to governance, regulatory compliance, subsidiary maintenance, and corporate transactions.
 

Responsibilities

  • Assist with general compliance and corporate governance matters for domestic and international subsidiaries, including obtaining notarizations, apostilles, formation documents, certified copies, corporate filings and other required corporate documents

  • Support due diligence, KYC requests and UBO declarations in connection with opening and maintenance of bank accounts and all other treasury related transactions

  • Support strategic transactions, including data room administration, document preparation, and post-closing integration and administration

  • Work closely with a variety of key stakeholders, including in-house attorneys, outside counsel, Treasury, Tax, and other business functions

  • Perform administrative duties such as distributing documents for signature via Adobe Sign or DocuSign, maintaining a record of legal and policy documentation, and review of invoices submitted for annual registration of subsidiaries

  • Attend to special projects for the Legal Department from time to time as needed

Qualifications

  • Minimum 2 years of corporate paralegal experience within a global public company preferred

  • Bachelor’s Degree, Paralegal Certificate from an accredited institution, or equivalent work experience in a field that develops the skills required for the functions and responsibilities of the position

  • Notary Public commission in the state of residence

  • Experience with corporate entity formation and ongoing maintenance

  • Experience with various corporate transactions, including financings and M&A

  • Strong attention to detail and highly organized

  • Strong communicator

  • Team player

  • Experience with systems, such as Computershare GEMS, Diligent Board Books, DataSite, iManage or similar, helpful

  • Bilingual (Spanish/English) preferred
