Job Description

Ares Management Corporation (NYSE: ARES) is looking to hire an attorney to join its existing Legal team of [50+] attorneys and other legal professionals. The position will be in New York and report to the Head of Wealth Management Distribution and Capital Solutions Legal at Ares. The Assistant Vice President, Global Capital Solutions Legal, will be responsible for providing day-today legal support for Ares Global Capital Solutions (AGCS) business, which works across various Ares’s global business lines and strategies managing the firm’s global banking and non-traditional lending relationships, capital needs, participating through its registered broker-dealer, Ares Management Capital Markets, LLC (AMCM) in various capital markets transactions, and overseeing the firm’s hedging programs. The Ares Legal team is responsible for advising on a wide range of legal matters as the Ares Legal team guides Ares' business through an evolving and complex financial, legal, and regulatory environment across the multiple jurisdictions in which we operate. The ideal candidate will work with directly with colleagues within AGCS, AMCM, applicable investment deal teams embedded within the firm’s various business lines, Ares Strategy, and others within the Ares Legal, Compliance and Regulatory departments.

Experience with legal and regulatory matters related to broker-dealer capital markets transactions is required, as well as experience advising on applicable broker-dealer and regulatory issues under the federal securities laws under the Securities Act, and the Exchange Act, and a working knowledge of relevant requirements under the Investment Company and Investment Adviser Acts, respectively. Ideally, the candidate will have substantive capital markets experience at a large law firm, or in-house legal experience supporting similar capital markets business for a complex investment bank or similar financial institution. Primary functions & responsibilities
  • Support GCS in connection securities and loan capital markets transactions, on a best efforts and firm commitment basis
  • Actively participate in the global expansion of the AGCS business, including providing guidance and assisting with the creation of an updated framework that accounts for key legal, regulatory and risk considerations in a scalable and responsible manner
  • Provide advice and counsel to the AGCS business and applicable broker-dealer teams on applicable rules and regulations and overall strategic objectives for the firm’s evolving global capital solutions-related initiatives
  • Advise on contractual negotiations and agreements involving AMCM in connection with its participation on capital markets transactions involving Ares funds, portfolio companies and related entities, and other third-parties
  • Assist in advising on applicable federal securities laws and FINRA requirements related to the involvement of AMC in capital markets transactions, and partner with outside counsel, as applicable to identify and address key issues
  • Partner closely with Ares’ Fund and Investment Legal team members, and related stakeholders within the Compliance and Regulatory teams to navigate key legal, regulatory and risk considerations as it relates to specific capital markets transactions involving AGCS and the continued evolution of this business for the firm
  • Coordinate closely with AMCM’s management, Fin Op and Compliance teams, and liaise with capital markets outside counsel to ensure the firm’s policies, procedures and processes are appropriately designed to cover new deal types and regulatory and risk considerations
  • Assist in advising on disclosures on a product-by-product basis to ensure participation by Ares’ affiliated broker-dealer, is regulatorily and contractually permissible and sufficiently disclosed to investors
  • Work closely with Ares’ capital markets external counsel to advise on the above
  • Work closely with key internal and external stakeholders, including regulatory/governing bodies, to ensure positive relationships are maintained and that Ares’ approach is both proactive and creative, acting in full compliance with all requirements
Qualifications
  • Education: JD required with a strong academic background

Experience Required:  

  • 3-7-year lawyer, with prior law firm experience and either currently at a law firm or in-house
  • Experience working on complex capital markets transactions, and as applicable understanding the nuanced requirements applicable to an affiliated broker-dealer that is [art of a complex asset manager framework
  • Understanding of the interconnectivity between various securities laws and regulations that arise from related, but different, broker-dealer, fund and investment adviser perspectives

Compensation

The anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role.

$250,000 - $275,000
