
Counsel – Contracts & Technology Attorney
We are seeking an experienced and highly skilled Counsel – Contracts & Technology Attorney to manage and own all aspects of client, vendor, technology-related contracts, and healthcare-specific agreements. This role will be responsible for drafting, negotiating, and managing all contracts to ensure they align with legal requirements, business objectives, and strategic goals. The ideal candidate will have experience in contract law, technology transactions, intellectual property (IP), emerging technologies (including AI), data privacy, healthcare compliance, and regulatory requirements.
This position will report to the Chief Legal Officer and collaborate closely with internal stakeholders, including product development, finance, operations, and compliance, while maintaining strong relationships with clients and vendors.
Key Responsibilities:
Internal Collaboration and Relationship Management:
- Collaborate with internal stakeholders, including the Chief Legal Officer, compliance officers, product teams, and business executives, to ensure all contracts support the company’s business strategies.
- Build and maintain positive working relationships with clients, vendors, and external partners, ensuring these relationships reflect both business needs and the company’s strategic priorities.
- Serve as the primary legal point of contact for internal teams on contract-related queries, concerns, or negotiations.
Contract Drafting and Review:
- Own all contracting matters for the company, including client agreements, vendor contracts, technology-related contracts, and HIPAA/BAA agreements, ensuring alignment with legal requirements, business objectives, and company strategic goals.
- Ensure contracts contain comprehensive and enforceable terms, including payment terms, performance expectations, confidentiality clauses, and dispute resolution provisions.
- Draft and align pricing terms with the company’s strategic goals, balancing market competitiveness with company profitability and long-term objectives.
Negotiation of Contract Terms:
- Lead and negotiate contract terms with both clients and vendors to secure favorable outcomes that align with the company’s business strategy, growth objectives, and risk tolerance.
- Facilitate discussions between internal teams (e.g., finance, product development, operations) and external parties to reach mutually agreeable contract terms.
- Identify and mitigate legal risks in contracts, particularly in technology agreements, including issues related to non-performance, cybersecurity, IP infringement, and failure to meet service-level agreements (SLAs).
Contract Administration and Lifecycle Management:
- Manage the entire lifecycle of contracts, from negotiation to execution and post-execution, ensuring contracts are aligned with company objectives and business needs.
- Maintain an organized system for tracking and monitoring contract compliance, ensuring that executed contracts are properly stored and that the company meets all contractual obligations.
- Oversee contract renewals, amendments, and terminations, ensuring that any changes align with business goals and protect the company’s best interests.
Protecting Intellectual Property and Ownership Rights in AI:
- Secure the company’s rights to AI innovations through clearly defined terms in contracts, ensuring the company retains ownership and can modify, use, or commercialize AI technologies.
- Negotiate exclusive licensing agreements and ensure the company has the necessary rights to data used for AI training, protecting the company’s investment in AI-driven solutions.
- Safeguard AI-generated outputs and ensure that any new technologies or derivative works developed through partnerships or vendor relationships remain the company’s exclusive property or are fully licensed to the company.
- Ensure that all technology agreements are scalable and future-proofed to allow flexibility for growth, product updates, and integration of new technologies.
Compliance with Technology Laws and Regulations:
- Ensure compliance with evolving technology regulations, including those related to AI, data privacy, cybersecurity, and emerging technologies.
- Monitor regulatory changes and ensure all contracts are updated to comply with new laws and best practices, including those affecting data protection and industry standards.
- Provide ongoing legal guidance on compliance issues related to technology contracts, HIPAA, healthcare regulations, and industry-specific requirements, reducing risk exposure for the company.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Admitted to practice law and in good standing in at least one U.S. jurisdiction.
- Minimum of 6 years of legal experience, with a preferred focus on technology contracts, intellectual property, licensing, data privacy, or healthcare compliance.
- Strong understanding of technology law, AI, emerging technologies, and healthcare privacy regulations.
- Proven experience drafting, negotiating, and managing a variety of contracts, including client agreements, vendor contracts, and technology agreements.
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and collaboratively in a fast-paced, business-focused environment.
- High attention to detail, organization, and process improvement mindset.
- Experience with contract lifecycle management systems is a plus.
