Job Description

SANY America we are looking for a Corporate Paralegal/Contracts Administrator to support the Legal Affairs department by managing projects with organization and urgency, drafting / negotiating contracts, answering drafting correspondence, preparing and filing forms regarding entities and real estate, and drafting corporate documents and agreements, including articles of organization / incorporation, resolutions, and corporate minute books. FIVE DAYS IN OFFICE

Responsibilities

  • Assist with periodic audits of the legal department’s contracts database, to ensure data integrity and accuracy.
  • Act as a key resource for continued implementation and management of contract management system.
  • Establish project timelines, track completion of tasks, connect with collaborators as necessary to provide updates, produce status reports, compile monthly and quarterly reports from internal databases.
  • Work with cross-functional departments to optimize processes, improve collaborator service, and achieve business priorities.
  • Assist business leaders with issues arising from vendor and customer relationships and provide practical business-oriented solutions, while using judgment to advance as necessary.
  • Perform all administrative functions for the Legal Department.

  • Experience with LinkSquares – a Contracts Technology software.
  • Familiarity with other forms databases and filing systems is a plus.
  • Experience in drafting corporate resolutions, supplier agreements, dealer agreements, sales contracts, and related contracts.


Qualifications

  • Bachelor’s degree (or equivalent years of related experience)
    •  Minimum of 5 years’ experience as contracts administrator or corporate paralegal in a law firm or a corporate legal environment.
    •  Experience preparing and analyzing contracts.
    • Proficiency in MS Office Suite (particularly Word, Excel and PowerPoint) and Adobe Acrobat. 


Preferred Qualifications
  Paralegal certificate 

  •  10+ years of law firm or in-house experience
  •  Extensive experience handling a CLM program
  •  Experience drafting and negotiating contracts under attorney supervision.
