Deputy General Counsel
 

Job Summary:

The Deputy General Counsel (DGC) will play a key leadership role in the legal department of a public, global company in the utility scale solar industry. Reporting to the Chief Legal Officer, the DGC will oversee critical legal functions, including complex corporate legal matters, commercial contracting matters, compliance, and risk management. This role will provide strategic legal guidance to senior executives, support global business initiatives, and foster adherence to regulatory and legal standards. The ideal candidate will have extensive experience in commercial contracting and corporate law, with a proven ability to manage legal risk in a dynamic, global environment.

Key Job Responsibilities:

Legal Strategy & Leadership:

  • Assist the CLO in developing and executing the company’s overall legal strategy.

  • Provide expert legal counsel to senior leadership on a wide range of legal matters, including contract negotiations, dispute resolution and complex corporate law matters, including business development.

  • Lead and mentor a team of attorneys and legal professionals, fostering professional growth and collaboration.

Commercial Contracting and Dispute Resolution:

  • Oversee complex commercial contracting matters, including negotiations and contract disputes and intellectual property matters.

  • Develop and implement proactive litigation risk management strategies, working closely with internal teams.

  • Act as a key legal advisor in high-risk business decisions and complex transactions.

Corporate Law & Compliance:

  • Oversee corporate legal matters, including business development and corporate transactions.

  • Develop and implement compliance programs to mitigate legal risks related to anti-corruption, trade compliance, and industry regulations.

Contract Negotiation & Risk Management:

  • Review, draft, and negotiate high-value commercial contracts, including supplier, customer, and joint venture agreements.

  • Identify and mitigate contractual risks, ensuring robust risk allocation strategies are in place.

  • Collaborate with procurement, finance, and operational teams to align contractual obligations with business objectives.

Budget Management:

  • Oversee the legal department’s budget, optimizing legal spend and resource allocation, including management of external counsel.

  • Evaluate and implement technology solutions to improve legal department efficiency and reporting.

Advisory Role to Business Units:

  • Act as a trusted legal advisor to executives and key stakeholders across various business functions.

  • Provide legal training and support to business teams on contract management, dispute resolution, and compliance.

  • Monitor evolving legal trends and regulatory changes, proactively advising on potential impacts to the company’s operations.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.

  • Admitted to practice law and in good standing with the bar in at least one U.S. jurisdiction.

  • 12+ years of relevant legal experience, with at least 5 years in a leadership role.

  • Strong background in commercial contracting and complex corporate transactions.

  • Experience in a publicly traded, global company and a large law firm serving corporate clients.

  • Deep understanding of commercial law, including dispute resolution strategies and complex corporate transactions.

  • Proven ability to lead teams and manage complex legal projects with multiple stakeholders.

  • Strong negotiation, communication, and analytical skills.

  • Ability to align legal strategies with business objectives in a dynamic, fast-paced environment.

Preferred qualifications:

  • Experience in the renewable energy or utility solar industry.
