We are looking for:

•  The Corporate Paralegal will support the legal department and other functions in various corporate governance, compliance, and transactional matters. This role requires a detail-oriented professional with excellent organizational and communication skills. The ideal candidate will have a strong understanding of corporate law and experience in an in-house legal department or law firm.

 We count on you for:

•  Assist in the preparation and filing of corporate documents, including formation, dissolution, licenses/permits, and annual reports.
• Prepare and organize corporate records, including minute books, board resolutions, and shareholder agreements.
• Support the legal team in mergers and acquisitions, including due diligence, document preparation, and closing processes.
• Assist in the preparation and review of contracts, agreements, and other legal documents.
• Ensure compliance with federal, state, and local regulations.
• Liaise with external counsel and regulatory bodies as needed.
• Provide administrative support to the legal team, including scheduling, correspondence, and document management.
• Maintain shared information databases and document management systems for accurate records management
• Work with registered agent for entity management system

You will bring:

 Bachelor’s degree or Paralegal Certificate from an ABA-approved program.

• Minimum of 8 years of experience as a corporate paralegal, preferably in a corporate legal department or law firm.
• Strong knowledge of corporate law, governance, and compliance.
• Excellent organizational and time management skills with the ability to manage multiple tasks and deadlines.
• Exceptional written and verbal communication skills.
• High level of professionalism and discretion in handling confidential or otherwise sensitive information.
• Ability to work independently and as part of a team.
• Familiar with Microsoft Office/Google Workspace applications 

 Preferred Qualifications: (Not required)

 Experience with mergers and acquisitions.

• Familiarity with securities law and filings.
• Knowledge of contract management systems.
• Notary Public for the State of NJ or GA, depending on hiring location

You will get:

• The U.S. base salary range reasonably expected to be paid for this position is $80,000-95,000 per year.
• Since actual compensation packages are based on a variety of factors unique to each candidate we may ultimately pay more or less than the posted base salary range.
• Total compensation for this role also includes bonus and/or other incentives. 
• 16, or more, weeks of maternity/paternity and co-parenting leave, according to local regulations.
