Objective:
Corporate Counsel will serve on the legal team. Corporate Counsel will play a pivotal role in supporting Heffernan Group (HG) and its entities through legal complexities and ensuring compliance. This position requires a dynamic individual with a strong legal background, business acumen, and excellent communication and collaboration skills.
Responsibilities Include:
- Provide legal advice to internal stakeholders on various corporate matters, including contracts, regulatory compliance, and business strategy.
- Draft, review, and negotiate a wide range of commercial agreements, ensuring legal compliance and protecting company interests.
- Conduct legal research to stay abreast of relevant laws and regulations affecting company operations.
- Collaborate with cross-functional teams to assess and mitigate legal risks associated with business initiatives.
- Manage and oversee litigation matters, working closely with General Counsel and external counsel when necessary.
- Develop and implement policies and procedures to ensure legal compliance across the company.
- Stay abreast of changes in laws and regulations affecting Heffernan, while ensuring proactive compliance.
- Assist in corporate governance matters, including regulatory filings and communications.
- Participate in the negotiation and execution of mergers, acquisitions, and other corporate transactions.
- Work closely with General Counsel and other senior leadership to align legal strategy with business objectives.
- Provide legal expertise for various business investments from setting up new entities to drafting applicable documentation, as necessary, with an eye to fully protecting investments.
- Contribute to the development and implementation of company policies and procedures.
- Special projects as necessary.
Requirements:
- Education – Juris Doctor (JD) from an accredited law school and active Bar membership.
- Minimum three years working experience practicing corporate law, preferably with in-house experience.
- Strong understanding of corporate governance, commercial transactions, and regulatory compliance.
- Exceptional communication, negotiation, and interpersonal skills.
- Strong knowledge of insurance laws, regulations, and compliance requirements.
- Detail-oriented with a proactive approach to problem-solving.
- Demonstrated ability to balance legal risks with business objectives.
- Conduct oneself with integrity and responsibility. Must be able to maintain confidentiality.
- Must be able to work with a wide variety of individuals.
- Proficient in MS Office – notably Word, Excel, and PowerPoint.
- Ability to thrive in a fast-paced, dynamic environment.

Compensation:
The base salary range for this position is $200,000.00 to $250,000.00. The offer will depend on the geographic region, job-related knowledge, skills, and experience, among other factors. This role will be eligible to participate in a discretionary annual incentive program.
