Assistant Vice President, Securities Counsel

Your Impact

As our AVP, Securities Counsel, you'll play a crucial role in ensuring this company's regulatory compliance while working closely with cross-functional teams. You'll have the opportunity to build relationships across the organization, from Finance and HR to Compliance and Investor Relations, creating alignment and fostering transparent information flow.

Your Day-to-Day

Securities Law Excellence:

• Craft and review SEC filings including 10-K, 10-Q, and 8-K forms, ensuring our compliance with federal securities laws

• Partner with communications team on earnings releases and investor presentations

• Guide the organization on public disclosure matters and Regulation FD compliance

• Work collaboratively with outside counsel on specialized matters

Corporate Governance Leadership:

• Coordinate with executive leadership and board members to prepare for board and committee meetings

• Contribute to the development of governance best practices

• Lead the legal aspects of stockholder meetings, working cross-functionally with multiple departments

Strategic Partnership:

• Serve as a trusted advisor to teams across the organization

• Provide thoughtful guidance on executive compensation and equity plans

• Support corporate transactions by working hand-in-hand with business development teams



Requirements

What You'll Bring

• JD from an accredited law school with active bar membership

• 6+ years of relevant legal experience, with a focus on securities law and corporate governance

• Strong interpersonal skills and ability to communicate complex legal concepts clearly

• Collaborative mindset and enthusiasm for working across different business functions

What Will Help You Stand Out

• Experience with board and disclosure management platforms like Diligent or Workiva

• Demonstrated ability to build consensus and navigate complex stakeholder relationships

• A track record of mentoring junior team members and sharing knowledge
