Job Description

Summary/Objective Paymentus is looking for an experienced, high performing Corporate Paralegal. The Paralegal position will assist a high functioning Corporate Secretary’s Office and Corporate Legal Department, with direct engagement with the executive team and business leadership.   Essential Functions/ Responsibilities ·         Manage day-to-day contract lifecycle processes, including intake, review coordination, tracking, and execution support to ensure timely and accurate handling of agreements. ·         Support overall legal department operations by improving workflows, maintaining organized records, and ensuring compliance with internal policies and procedures. ·         Coordinate the collection, review, and production of documents in response to internal and external requests, including audits, regulatory inquiries, and litigation matters. ·         Lead and support cross-functional projects, applying project management best practices to drive efficiency, meet deadlines, and align stakeholders. ·         Manage legal and industry research programs, identifying regulatory developments, and emerging risks to inform business decisions and legal strategy. ·         Manage relationships with outside counsel (litigation and intellectual property), including tracking matters, monitoring budgets, reviewing invoices, and ensuring cost-effective use of external resources. ·         Provide support to the corporate insurance program, including assistance with annual renewals and larger business facilitation. ·         Coordinate aspects of Board of Directors and Committee meetings, including planning and administration. ·         Draft and coordinate communications to Board and Board committees, including agendas and materials. ·         Draft routine resolutions and other Board documents. ·         Administer, manage, and maintain board portal, including annual D&O questionnaires. ·         Organize and maintain governance records, including minute books. ·         Ensure timely and accurate corporate filings are made, including annual report filings, renewals, and entity formations and dissolutions.   Supervisory Responsibility

This position does not have any supervisory responsibility or direct reports.

Education/ Requirements ·         Prior corporate governance, entity management or corporate paralegal experience is a plus. ·         Exceptional written and verbal communication skills, and ability to interact and build effective relationships with internal and external partners. ·         High level of personal and professional integrity. ·         Demonstrated ability to handle confidential and sensitive information with strict confidence. ·         Strong organizational skills and proven ability to multi-task and meet tight deadlines while paying attention to details, ensuring a high standard of work. ·         Ability to anticipate, improvise, and adapt for optimal resolutions. ·         Ability to work independently and collaboratively as a team member, and use independent and professional judgment with minimal supervision.   Work Environment

This job operates in a professional office environment. This role routinely uses standard office equipment such as laptop computers, photocopiers and smartphones.

Physical Demands Prolonged periods of sitting at a desk and working on a computer. Must be able to lift 15 pounds at times. Must be able to travel. Position Type/Expected Hours of Work

This is a full-time position with in office requirements. Days and hours of work are Monday through Friday, during normal business hours. Occasional evening and weekend work may be required as job duties demand.

Travel

Travel requirement is up to 5%; however, requirements may be greater or less than during certain periods of the year.
