Assists the Executive Vice President (“EVP”) and Executive Services Manager (“ESM”) with legal matters related to real estate and finance.
Responsibilities:
The Corporate Paralegal is responsible for, but is not limited to, the following:
1. Conduct any and all oral and written communications with our customers, prospects, applicants, residents, or coworkers in a manner consistent with the Company’s Customer Service Program and philosophy.
2. Adhere to all Company policies and procedures.
3. Assist with the preparation and completion of assigned research projects and/or special tasks as requested, which may require facility with purchase agreements, legal/mortgage financial documents, deeds, leases, contracts, easements, service contracts, notices of commencement, GSC operating procedures and policies, corporation and partnership structures, and basic accounting concepts.
4. Assist with follow-through and follow up on company legal (and various estate) matters, including the ability to negotiate, draft, revise, and redline corporate purchase and sales agreements, contracts and documents.
5. Staff meetings with EVP and ESM to include:
- Discuss new/recurring matters and prioritize including incoming mail
- Calendar-review for prioritization of upcoming due dates/deadlines
- Executive Department and Paralegal Project Task List review
6. Responsible for corporate organization, reporting, permitting and licensing requirements for all entities:
- Maintain and update 150+ corporate minute books, records and files to include Corporations/Partnerships/L.L.C.s; create new minute books for newly created entities as needed.
- Review of Ownership/Organizational Diagrams for information, structural and formatting accuracy and make required updates and changes as needed
- Draft organizational documents including operating agreements and corporate/special consents
- Prepare corporation annual consents and minutes.
- Form new entities and file/apply/register to transact business in the appropriate state/localities where we plan to conduct business
- Renew entity annual reports/registrations/assessments/registered agents and pay fees online or request a check via MRI (accounts payable software) to the applicable states/localities; terminate entities where required
- Apply for new business licenses and permits in the applicable states/localities; renew annually or as required and pay fees online or request a check via MRI
- Apply and/or renew Assumed/Fictitious/Trade Names and maintain reference lists
- Apply for new Federal Employer Identification Numbers (FEINs) as needed; maintain active/inactive reference list
- Complete IRS W-9 forms and distribute to requestor(s)
7. Assist EVP and ESM with tasks related to real estate acquisitions, dispositions , loans and related projects including, but not limited to:
- Summarize purchase agreements to include calculating critical due dates and calendarize to ensure important tasks are completed on time
- Assist with escrow deposits and closing funds, extension requests and notices to exercise options
- Set up paper and electronic shared file system.
- Assistant liaison with financing institutions and attorneys, as needed
- Distribution of property information to co-workers, lenders, attorneys and consultants
- Order third party reports/assessments such as appraisals, property condition and environmental; review and summarize for problem areas and resolution thereof
- Order title insurance and boundary surveys; review for problem areas and resolution thereof
- Maintain pre- and post- closing checklist summaries and provide post-closing follow-up to ensure all final documents including Certificates of Satisfaction are received from outside sources, such as attorneys, title companies, brokers and lenders.
- Distribution and transfer of documents, as needed, to staff and co-workers, especially those documents needed for transferring responsibility post-closing
- Store final amended documents to MFiles (document management system) and in printed permanent files as needed.
- Property additions/changes to company/department reference /lists
- Update loan listing related to lines of credit, apartment loans and cross-reference on Ownership Diagrams
- Update new/changed information to Executive Department Database (MS Access)
- Maintain Certificates of Satisfaction reference list and update as needed
8. Telephone, mail, and clerical duty back-up as needed and in the absence of the EVP, ESM and Executive Assistant II.
9. Responsibility maintaining and updating the document management system (MFiles) for the Executive Office files, to include:
- Prepare and scan documents
- Review scanned documents to ensure proper property and entity connections/keywords are made
- Trouble-shooting problems with software
- Assist with training of other employees as needed
10. Request, distribute to appropriate staff and file financial reports on Chipp North 9, L.L.C. and CN2, L.L.C.
11. Other responsibilities as assigned by the EVP and ESM.
Education: College degree or equivalent work experience.
Experience: Minimum ten years working experience in real estate transactions and finance.
Skills:
- Proficiency in Microsoft Outlook, Teams, Word and Excel; Access and MFiles a plus
