
As Corporate Counsel, supporting Bacardi’s North America Region (NAM), you will act as a strategic legal partner across the United States, Canada, Bermuda, and Puerto Rico. You will collaborate closely with the NAM Legal team and senior leaders across functions, including Commercial, Marketing, Procurement, Supply Chain, Finance, HR, and Corporate Affairs, to provide business-focused legal counsel that enables commercial success and mitigates legal risk. You will also contribute to the development and alignment of legal practices across Bacardi’s global matrix, ensuring the legal function operates consistently, efficiently, and in full compliance with evolving regulatory requirements. You will be based in Miami, Florida.

RESPONSIBILITIES
Provide senior-level legal counsel and guidance to commercial and corporate functions, ensuring alignment with local, regional, and internal policies, laws, and regulations.
Maintain proactive and ongoing communication with internal stakeholders, legal subject matter experts to ensure seamless legal support and knowledge-sharing across functions.
Lead the drafting, negotiation, and lifecycle management of a broad range of commercial agreements across regional markets. Key contract types include distribution agreements, on and off-trade customer agreements, advertising agreements, agency contracts, professional service agreements, consumer promotion terms and conditions, warehousing and logistics arrangements, and procurement agreements
Deliver proactive legal advice and contract support to other corporate functions, including Procurement, Communications, Human Resources, Finance, IT, Internal Audit, etc.
Lead the management of disputes and regulatory inquiries, including handling litigation and pre-litigation matters
Manage negotiations, arbitration, mediation, and other forms of dispute resolution to mitigate legal risk and protect company interests
Review marketing and media content to ensure compliance with advertising laws and promotional regulations
Monitor legal and regulatory trends impacting the Region and provide actionable insights and guidance to adjust business practices accordingly
Develop, implement, and update internal policies to ensure compliance with evolving legal and regulatory standards
Champion a culture of ethics and integrity by advocating the Bacardi Code of Conduct and conducting relevant compliance and legal training
Support strategic legal initiatives and cross-functional projects by providing timely, practical counsel on variety of ad-hoc business matters as needed
SKILLS
Juris Doctorate from an accredited law school, required
4-8 years of progressively responsible commercial legal experience in a law firm and/or corporation (Spirits and/or Consumer Packaged Goods industry experience is a plus)
Active U.S. Bar license or ability to qualify as Florida Registered In-House Counsel
Legal experience drafting and negotiating contracts
Spanish language written and verbal fluency, preferred
Spirits and/or Consumer Packaged Goods industry experience is a plus
Practical approach to legal communications, contract drafting, problem solving and ability to translate legal issues into clear, “plain English” guidance for non-lawyers
Excellent business judgment and ability to assess legal risk while also thinking strategically with minimal supervision and providing practical actionable advice and recommendations
Advanced negotiation skills
Ability to work across corporate functions and with stakeholders in different countries
