Overall Responsibility:
The General Counsel (GC) is a senior executive responsible for overseeing the legal affairs of A&D Mortgage, ensuring compliance with all applicable laws and regulations, and providing strategic legal guidance to the company’s leadership team. The GC will manage a team of legal professionals, work closely with the executive team, and be a key advisor on all legal matters, particularly in relation to mortgage law, regulatory compliance, risk management, corporate governance, and litigation.
Key Responsibilities:
Legal Compliance & Risk Management:
- Ensure the company’s operations comply with federal, state, and local regulations, including those related to mortgage lending, securities, consumer protection, and anti-money laundering.
- Monitor changes in legislation, regulations, and industry trends to proactively mitigate risk and ensure compliance with evolving legal standards.
- Manage the company’s legal and compliance programs, including overseeing audits, regulatory filings, and reporting requirements.
Litigation & Dispute Resolution:
- Oversee and manage all litigation, arbitration, and dispute resolution matters involving the company, including foreclosure-related litigation, regulatory enforcement actions, and consumer disputes.
- Develop strategies to resolve disputes effectively and minimize the company’s exposure to liability.
Contract Negotiation & Drafting:
- Draft, review, and negotiate contracts, including loan agreements, vendor agreements, service provider contracts, and employment agreements.
- Provide legal input on terms and conditions for new business arrangements and partnerships.
Consumer Protection & Ethical Standards:
- Ensure the company’s practices are consistent with consumer protection laws such as the Truth in Lending Act (TILA), Real Estate Settlement Procedures Act (RESPA), Equal Credit Opportunity Act (ECOA), and Fair Lending laws.
- Advise on matters related to fair housing, privacy, data protection, and credit reporting laws.
Leadership & Team Management:
- Lead and mentor the internal legal team, ensuring professional development, efficient legal workflows, and a strong organizational culture.
- Work cross-functionally with departments such as compliance, risk, operations, and human resources to support business objectives and legal initiatives.
- Juris Doctor (JD) degree from an accredited law school.
- Proven experience in mortgage compliance, regulatory law, and managing complex legal matters.
- Deep understanding of mortgage industry regulations, including those from the Consumer Financial Protection Bureau (CFPB), Federal Housing Administration (FHA), and other federal/state regulators.
- Strong leadership skills with experience managing and developing legal teams.
- Excellent communication, negotiation, and interpersonal skills.
- Ability to think strategically and provide practical, business-oriented legal advice.
Preferred Skills:
- Previous in-house legal experience in a mortgage or financial services company.
- Experience with mergers, acquisitions, or other corporate transactions.
- Familiarity with mortgage servicing, lending practices, and the secondary mortgage market.
