About the job

Portfolio Advisors is seeking an attorney with three to six years of corporate/private funds experience to join its legal team. 

The successful candidate is expected to handle:

  • Fund formation and other ongoing fund related matters for the firm’s various private equity funds.
  • Drafting and negotiating investment advisory agreements with advisory and separately managed account clients.
  • Matters related to the firm’s registered fund.
  • Miscellaneous legal matters relating to the firm, including its foreign offices and queries regarding marketing in foreign jurisdictions.
  • Corporate and record keeping matters and update templates and trackers.
  • Corresponding with outside counsel and internal business teams on the above matters

 

 

Responsibilities include:

  • Drafting Limited Partnership Agreements, Private Placement Memorandums, GP Agreements, Investment Management Agreements, Subscription Agreements
  • Drafting and negotiating side letters with investors
  • Drafting, reviewing and negotiating placement agent agreements, administration agreements, consulting agreements and other service provider/vendor agreements

 

Qualifications:

  • Graduate from a reputable law school having passed the Bar Exam in at least 1 state
  • 3- 6 years of experience at a reputable law firm and/or in-house, preferably in the private equity group
  • Familiarity with private equity documents
  • Extremely detail oriented and organized
  • Able to multi-task and meet strict deadlines, self-starter, self-motivated
  • MS Word, MS Excel, MS Outlook and Adobe proficiency is required.
