To further our mission, we are looking for a Corporate Paralegal.
- Contract Management
- Assist with development and implementation of contract lifecyle management system
- Track key contract terms, obligations, deadlines, and renewals
- Coordinate contract approvals and execution processes
- Assist with contract negotiations and drafting documents
- Corporate Entity Management
- Maintain corporate records, minute books, and governance documents for corporate entities
- Prepare and file annual reports and other state or regulatory filings
- Coordinate board of directors and member meetings, including preparation of agendas, resolutions, and minutes
- Manage entity databases and ensure accuracy of organizational records
- Assist with winding down corporate entities
- Compliance and Regulatory Support
- Support the development, implementation, and monitoring of corporate compliance programs
- Conduct research on applicable laws
- Assist with internal audits, risk assessments, and policy updates
- Track and ensure timely completion of required filings and certifications
- General Legal Support
- Assist with litigation management, including document collection, organization, and coordination with outside counsel
- Manage legal department calendars, deadlines, and document repositories
- Assist in the development and maintenance of legal templates
- Bachelor’s degree required
- At least three years of relevant experience required
- Strong knowledge of contract principles and procedures and corporate governance
- Superior attention to detail
- Excellent collaboration, communication and organizational skills
- Ability to coordinate complex tasks with multiple stakeholders
- Ability to manage multiple projects and meet deadlines
- Proficient in Microsoft Office Suite or similar software
- General office environment
- While performing the duties of this job, the employee is regularly required to use a computer for extended periods of time and be able to communicate using a computer and phone/smart device
- The employee frequently is required to sit and reach and must be able to move around the work environment
- The employee must occasionally lift and/or move up to 10 pounds
