Position

Polen Capital is seeking to hire a Legal Counsel based in our Boca Raton office who will be responsible for supporting the Legal & Compliance team on the diverse legal needs of a dynamic and global investment manager.  The Legal Counsel reports to the Deputy General Counsel.

 

Responsibilities

  • Draft and negotiate investment management agreements, guidelines and other agreements with clients, financial institutions, consultants, plan fiduciaries and investment advisers
  • Negotiate vendor agreements, confidentiality agreements, and other legal documents with external parties
  • Research and advise on contractual, securities law, banking law, trading, and portfolio management issues
  • Participate in legal work in connection with internal and external transactions on an ad hoc basis
  • Enhance Polen Capital’s corporate governance structure and framework
  • Support regulatory reporting and responses to audits, regulatory exams, investigations, and other information requests
  • Support legal activities related to onshore and offshore funds

 

Qualifications

  • Bachelor’s degree and Graduate degree in law (J.D.)
  • Minimum of 4-6 years’ experience as a lawyer in the transactional or investment management practice of a major law firm or in the legal department of a leading investment management firm; at least 2 years’ of practice at a major law firm required
  • Experience with the U.S. Federal securities laws (preferably the Investment Advisers Act and/or the Investment Company Act)
  • Admitted to practice law in at least one state and eligible to register as an Authorized House Counsel in Florida
  • Team player with exceptional people skills that contribute to the ability to work well with others toward common goals
  • Well-organized and comfortable working in a fast-paced environment; ability to work independently with a focus on prioritization; attention to detail is essential
  • Knowledge of the products and services available in the investment management industry
