
Location: On site in Memphis, TN
SUMMARY
This is a new role, and the candidate is expected to provide legal advice to management and work with outside counsel. Upon request and direction from the General Counsel, manage Procurement and other third-party corporate contracts, perform administrative and other tasks related to those functions, and provide support to the Legal Department, generally.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- With advice from the General Counsel and outside law firms, reviews and negotiate contracts and other legal documents to ensure that contracts and other documents meet business objectives and appropriately address legal issues.
- Reviews and negotiates Non-Disclosure Agreements with third parties.
- Outsources legal questions and contracts to outside counsel when in-house resources are insufficient or specialized knowledge is required.
- Assembles facts and communicates with other associates to gather information and advice from and for the General Counsel, when appropriate.
- Keeps contract logs and performs related administrative tasks.
- Establishes and maintains a database of corporate contract templates and a clause directory.
- Provides additional support to other attorneys in the Legal Department, including providing overflow support to the Corporate Secretary.
- Handles miscellaneous legal matters as assigned by the General Counsel.
- May be responsible for serving as liaison to other departments at the bank, including regular interaction with Procurement and Sourcing, Third Party Risk, Compliance, Risk, Insurance, IT Risk and Information Security, and lines of business across the bank’s entire platform.
- Performs all other duties as assigned
SUPERVISORY RESPONSIBILITIES
- Directly responsible for directing, coordinating, and evaluating designated units or certain personnel, including paralegals, in accordance with the organization's policies and applicable laws. Responsibilities may include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; providing pay change recommendations; disciplining employees; addressing complaints and resolving problems.
QUALIFICATIONS
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Additionally, the qualifications listed below are representative of the knowledge, skills, and/or abilities required in this position:
- Graduate degree (Juris Doctorate) and at least 2 years of experience or equivalent combination of education and experience.
