Corporate Counsel

Department: Legal/Administration

Reports To: Chief Financial Officer

Position Summary: This strategic role combines expert legal oversight with business advisory responsibilities, serving as a trusted partner to senior leadership. The Corporate Counsel will manage and negotiate customer contracts—such as terms and conditions, master service agreements, and confidentiality agreements—while providing high-level guidance on risk management, corporate strategy, and operational growth.

Key Responsibilities:

  • Serve as a strategic legal advisor to the CFO and senior leadership team, offering insights on business opportunities, risk exposure, and corporate governance.
  • Provide expert review, drafting, and negotiation of customer contracts, ensuring compliance with legal standards and alignment with Proconex’s risk profile and business goals.
  • Develop and implement legal and business strategies to support growth initiatives, including partnerships, vendor relationships, and operational expansions.
  • Advise on complex legal issues, including regulatory compliance, liability management, and dispute resolution, to safeguard the company’s interests and reputation.
  • Oversee contract management processes, leveraging digital tools to organize, track, and maintain agreements, ensuring accessibility and operational efficiency.
  • Collaborate with sales and operations teams to structure deals, mitigate risks, and resolve contractual disputes, balancing legal protections with customer satisfaction.
  • Monitor and interpret evolving laws, regulations, and industry trends, proactively advising leadership on potential impacts to the business.
  • Act as an internal resource for corporate policies, training staff on legal best practices and fostering a culture of compliance and accountability.
  • Direct and monitor Proconex’s outside counsel on legal matters including intellectual property management, claims, and new business opportunities.

Job Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Minimum 5 years of legal experience with a blend of in-house corporate counsel and/or law firm practice in business law, contracts, or commercial transactions.
    • Capability to negotiate, draft, interpret, and administer contracts
    • Solid understanding of contractual issues related to risk and reliability
    • Attention to detail, but must also see the big picture
    • Strong business acumen and business advisory skills
    • Highly effective at building long term relationships and working within a sales team environment
    • Ability to use digital tools to organize contracts and administer access to the documents
    • Creative negotiator seeking win-win

 Working Conditions:  The position is based out of our Royersford Headquarters and will be able to take part in the company hybrid in-office options.
