Corporate Lending Counsel, Digital Assets 

Summary: 

Monet Bank is seeking an experienced Corporate Lending Counsel to negotiate lending transactions for the Bitcoin Lending team. Experience with cryptocurrency, custody agreements and digital assets is preferred. We seek an experienced lending attorney who can help negotiate the loan documentation and work with external and internal stakeholders on the transactions. This role will involve advising business units, negotiating and drafting complex agreements and ensuring compliance with evolving regulatory frameworks in the digital assets space.  

 

Essential Job Duties & Responsibilities (Include but are not limited to):

  • Prepare, review and negotiate confidentiality and non-disclosure agreements
  • Prepare and negotiate engagement agreements with consultants, outside law firms and various other parties
  • Experience in the transaction side of cryptocurrencies and Stablecoins, including custody agreements, bank partnership agreements and lending agreements involving cryptocurrency.  
  • Understanding of the loan underwriting and due diligence process. 
  • Knowledge of the statutory and regulatory framework, including pending legislation required and a passing knowledge of BSA/AML preferred.  
  • Provide legal guidance on the development, issuance and management of Stablecoins and related digital asset products.
  • Support internal teams on matters related to digital asset custodianship, tokenization, wallet infrastructure and third-party service providers.
  • Develop and maintain policies and procedures to ensure ongoing compliance with applicable laws, including transaction monitoring, KYC and reporting requirements.
  • Collaborate with cross-functional teams, including Compliance, Risk and Product to align legal strategies with business goals.
  • Monitor legal and regulatory developments in the digital asset and financial technology sectors and assess their impact on the company’s operations.
  • Represent the company in discussions with regulators, counterparties, and external legal counsel.
  • Educate internal stakeholders on regulatory requirements, legal risk and compliance best practices.

 

Qualifications (Education, Experience, Computer Skills, Certifications, Etc.): 

  • Experience in the transaction side of cryptocurrencies and Stablecoins, including custody agreements, bank partnership agreements and lending agreements involving cryptocurrency.  
  • Experience advising or working with regulated financial institutions lending teams. 
  • Understanding of international AML/KYC requirements.
  • Familiarity with securities law, money transmission regulations and consumer protection law as applied to digital assets.
  • Familiarity with asset-based lending and the UCC. 
  • Juris Doctor (JD) from an accredited law school.
  • Admission to a U.S. state bar in good standing.
  • 6+ years of relevant legal experience, including in-house or law firm roles.
  • Demonstrated experience with cryptocurrency custody arrangements and Stablecoin products.
  • Expertise in U.S. federal financial regulations, especially BSA/AML, OFAC, and FinCEN requirements.
  • Strong knowledge of digital asset market practices, blockchain technology and regulatory frameworks.
  • Proven ability to negotiate and draft complex commercial and financial services agreements.
  • Exceptional analytical, organizational and communication skills.
