
Corporate Counsel – Business Units and Commercial Strategies

The Corporate Counsel will be responsible for providing strategic legal advice and support for a wide range of healthcare transactions, including joint ventures, affiliations, partnerships, acquisitions, and other healthcare-related business arrangements. The ideal candidate will have extensive knowledge of healthcare laws and regulations, strong negotiation skills, and the ability to manage complex legal projects. The candidate must be located in one of Providence’s footprint states, preferably Washington or California, and the candidate would ideally have at least 10 years of relevant experience.
Key Responsibilities:
- Provide legal support for Providence’s ambulatory care, urgent care, virtual care/digital care, and telehealth business leads.
- Draft, review and negotiate healthcare-related transactions documents, including purchase agreements, operating agreements, management services agreements, and other commercial contracts, including those involved in joint ventures and strategic alliances.
- Collaborate with business teams to ensure transaction and third-party contract terms meet the organization's operational and strategic needs.
- Provide counsel related to regulatory compliance, including telehealth laws and regulations.
- Review and approve contracts related to ambulatory and virtual care services.
- Ensure all transactions comply with applicable healthcare laws and regulations, including the Stark Law, Anti-Kickback Statute, HIPAA, and fraud and abuse laws.
- Work closely with internal stakeholders, including finance, operations, and compliance, to structure and execute transactions that align with business objectives.
- Support and advise business teams on legal risks and opportunities in emerging healthcare delivery models.
- Appropriately manage workflow and competing priorities with supervising attorneys, and in collaboration with other DLA attorneys to effectively and efficiently deliver legal services to the organization.
- Provide valued, strategic, and practical legal advice to executive leadership.
- Manage outside counsel relationships for complex transactions.
Qualifications and Experience:
- Juris Doctor (JD) degree from an accredited law school.
- Active admission and license to practice law in either California or Washington.
- At least 10 years of relevant experience focused on healthcare law.
- Prior in-house experience in a healthcare system, telehealth company, or similar setting is highly preferred.
- Experience working with virtual care models and understanding legal complexities of remote monitoring, online consultations and mobile health apps.
- Exceptional communication skills to effectively collaborate with clinical and operational leaders.
- Strong problem-solving skills and strategic thinking skills, with the ability to manage risk while supporting business goals.
