Job Description

GENERAL JOB DESCRIPTION

The In-House Counsel will be responsible for providing legal support to the company, including but not limited to drafting and negotiating commercial leases and other agreements and contracts, working with outside counsel to handle collections and litigation matters, and working with various departments to provide general legal review and advice.

 

MAJOR DUTIES AND RESPONSIBILITIES

  • Draft and negotiate a broad range of corporate and commercial agreement.
  • Deep understanding of professional services agreements and ability to close deals in a timely manner while minimizing risk with minimal supervision is required.
  • Outstanding analytical, consulting, drafting, and negotiation skills with the ability to make well-reasoned legal and business judgment.
  • Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights.
  • Deal with complex matters with multiple stakeholders and forces.
  • Provide clarification on legal language or specifications to everyone in the organization.
  • Provide expert legal advice to senior management and executive team on various legal issues, including labor, ethics, corporate governance, and commercial matters.
  • Draft, review, and negotiate contracts, agreements, and other legal documents to protect the company's interests.
  • Manage litigation or legal proceedings involving the company, coordinating with external counsel as necessary.
  • Stay updated on changes in laws, regulations, and industry trends to anticipate potential impacts on the company.

 

EXPERIENCE/CREDENTIALS

  • 3 - 5 years of experience practicing law in a law firm or corporate legal department.
  • Juris Doctorate degree required.
  • Active license to practice law in Ohio preferred.
  • Strong knowledge of securities, drafting agreements, mergers and acquisitions, strategic consulting, contract law, legal compliance, corporate compliance, and contract maintenance.
  • Experience working in the financial services sector and regulatory agencies 
  • Strong negotiation, analytical, and problem-solving skills.
  • Excellent written and verbal communications and interpersonal skills.
  • Proven experience in corporate, commercial, labor, and ethics law.
