Key Responsibilities

Lead and support sell-side M&A transactions, frequently involving private equity buyers or PE-backed acquirers

Advise clients across multiple industries, with strong exposure to healthcare and defense contracting transactions

Provide occasional support on hospital and healthcare regulatory matters as needed

Draft, review, and negotiate key transactional documents, including:

Purchase agreements

Disclosure schedules

Ancillary and closing documents

Conduct due diligence and provide practical, commercially aligned guidance throughout the transaction lifecycle

Work closely with partners and senior attorneys on deal execution and client relationships

Ideal Candidate Profile

6+ years of corporate transactional experience (sell-side M&A strongly preferred)

Experience in or strong interest in healthcare transactions and/or healthcare regulatory work

Business-minded and solution-oriented approach

Strong drafting, analytical, and negotiation skills

Comfortable working independently while collaborating closely with senior attorneys

NY bar license
