Job Description

Summary 

The Institute of Internal Auditors, Inc. (IIA) is seeking a mid-level attorney to join our legal team. The ideal candidate will be familiar with commercial contract drafting, reviewing, and negotiating, and a basic understanding of the unique needs of a professional association. This position is based at The IIA HQ in Lake Mary, Florida and adhering to the hybrid work format. The Assistant General Counsel will play an important role in providing legal support to the IIA's various departments and ensuring the organization's best interests are protected. Must be a member of the Florida bar.  

 

Essential Duties and Responsibilities:

  • Draft, review, and negotiate a variety of commercial contracts, including but not limited to vendor agreements, service agreements, licensing agreements, and partnership agreements, ensuring compliance with IIA policies and applicable laws and regulations. 
  • Collaborate with internal stakeholders to understand their requirements, provide legal guidance, and identify potential risks and mitigation strategies in contract negotiations. 
  • Lead the development and implementation of contract management processes, policies, and best practices to support the organization's growth and minimize legal risks. 
  • Provide legal support and guidance to IIA's various departments on all legal matters, with a special emphasis on governance, contracts, compliance, employment and intellectual property. 
  • Stay current with relevant legal developments and industry trends and proactively identify and address potential legal and ethical issues that may impact the IIA and its members. 
  • A desire to grow professionally and to gain exposure to all areas of the law.
  • International experience is a plus.

 

Qualifications 

  • Juris Doctor (JD) degree from an accredited law school and an active member in good standing with the Florida bar. 
  • Basic experience in drafting, reviewing, and negotiating commercial contracts, preferably within a professional association or nonprofit organization. 
  • Excellent command of legal English and the English language in general.
  • Basic understanding of the unique legal considerations for professional associations and nonprofit organizations. 
  • Excellent communication and interpersonal skills, with the ability to work effectively with individuals at all levels within the organization. 
  • Demonstrated ability to handle multiple priorities in a fast-paced environment, exercising sound judgment and problem-solving skills. 
  • Strong organizational skills and attention to detail, ensuring the highest level of accuracy in legal documentation and advice.

The Assistant General Counsel will play a key role in supporting the IIA's mission and strategic objectives by providing expert legal advice and guidance on a variety of commercial matters. Computer Skills 

Intermediate or higher ability to work in a modern corporate IT environment with expertise or highly proficient knowledge of Microsoft Office products and legal research and compliance solutions.
