Job purpose
We are looking for a Senior Counsel, Corporate and Securities to join and serve as a key member of our PHINIA Legal team. This position will handle a broad spectrum of legal issues relating to the Company’s corporate matters, including securities, corporate governance, other public company compliance, and corporate finance matters. This position will play a key role in other corporate areas as well, including data privacy, cybersecurity, mergers and acquisitions, sustainability reporting and regulatory readiness, and other corporate matters and transactions.
This position is an important member of the PHINIA Legal Department, reporting to the General Counsel, Corporate and Securities, and Assistant Secretary, and working collaboratively with various global functions in support of the Company’s strategies, goals, and objectives.
Key Responsibilities
- Advising on securities, corporate governance, and other public company compliance requirements, including NYSE listing requirements
- Preparing and/or reviewing periodic reports, earnings materials, proxy statements, and other filings required by the SEC and NYSE, including 10-Ks, 10-Qs, 8-Ks, and Section 16 filings
- Advising on insider trading and Section 16 issues for directors, officers and other insiders
- Counseling on corporate governance, market practices, and shareholder and proxy advisor considerations, monitoring and analyzing related developments and trends, and supporting stakeholder engagement
- Preparing materials, minutes, and generally supporting meetings of the PHINIA Board of Directors and its committees, as well as PHINIA annual meetings
- Counseling on and supporting corporate finance, data privacy, cybersecurity, and other corporate matters and transactions, as needed
- Assisting with merger and acquisition activities, including supporting due diligence and integration activities, as needed
- Providing legal support in connection with the Company’s sustainability initiatives and disclosures, including sustainability reporting and regulatory readiness, as needed
- Managing and supporting other projects and matters as may be assigned from time to time
- Regular travel to Company headquarters in Auburn Hills, MI and/or other global PHINIA locations, as needed
What we’re looking for
Required
- J.D. degree, and admitted to practice law and a member in good standing of at least one U.S. state bar
- 4+ years required of handling securities, corporate governance and other public company compliance matters in a publicly traded company law department and/or private law firm
- 10+ years of professional experience in a business setting, publicly traded company law department and/or private law firm, which can include positions held during graduate school
- Project management experience in a cross-functional environment
- Excellent organizational skills and attention to detail
- Excellent written and verbal communication and interpersonal skills
- Self-starter that is open to feedback and can identify and implement practical solutions, including those that may challenge the status quo
- Ability to effectively work in a collaborative manner with diverse constituencies
- Ability to proactively recommend, develop, and drive strategy and process improvements, and influence decision-making with key leadership and others in a decentralized environment
- Ability to provide strong leadership, with minimal oversight, in managing meetings and complex projects that include coordination with internal SMEs, external vendors, and others in an efficient, organized, and cost-effective manner
- Ability to effectively plan, prioritize, and assess risks and opportunities
- Sound business and legal judgment, and ability to identify and implement practical solutions in complex and critical areas
- Strong problem-solving skills, overall business acumen, and analytical skills, including interpreting various regulations, data, metrics, best practices, and other information from a variety of sources
Preferred
- Experience providing legal support for corporate finance, data privacy, cybersecurity, mergers and acquisitions, and/or sustainability/ESG reporting and compliance matters considered a plus
