Job Description

Brookfield is looking for a motivated individual with transaction legal experience to work on the North American Capital Markets team. This person will play a key role in supporting the execution of complex financings across Brookfield’s global real estate funds. This individual will manage key aspects of deal execution, including transaction coordination, documentation, and post-closing processes. The ideal candidate is highly organized, detail-oriented, and thrives in a fast-paced, collaborative environment. This individual will report to the head of Transaction Management on the North American Capital Markets team.

Responsibilities:

  • Transaction Management and Coordination

    • Lead the internal transaction kick off, which includes the creation of a deal ‘playbook’ and distributing to the transaction team

    • Assist in the transaction closings process by joining and tracking items on checklist calls, participating in checklist calls and organizing the internal transaction team before and after checklist calls

    • Establish and maintain a deal room for each transaction

      • Consolidate legal due diligence and documents for each transaction

      • Manage internal and external access to deal room

    • Order and review third party reports; including title, survey, zoning, environmental reports, seismic, and physical engineering reports

    • Oversee legal estimate process and track ongoing costs for internal and external counsel

    • Coordinate non-disclosure agreement process with outside counsel and business teams

    • Oversee legal billing process for Capital Markets specific activities
       

  • Corporate Secretarial

    • Coordinate KYC for lenders, bank accounts and interest rate derivatives

    • Coordinate responses to searches
       

  • Coordinate Signature Pages
     

  • Derivative Management

    • Manage the transaction process for all interest rate derivatives
       

  • Bank Account Management

    • Assist in developing and coordinating with treasury on executing a bank account strategy
       

  • Post-Closing Transaction Management and Coordination

    • Post-closing document management; Manage and provide oversight and support of capital markets records

    • Create and distribute ‘hand off’ memo to the transaction team, with all final transaction information

    • Close deal room; save final records on internal database

    • Debt database management; Coordinate with third party for general administrative updates and document uploads.
       

  • Loan Asset Management

    • Assist with the preparation of legal documents, including loan extension notices and property release notices

    • Act as the Capital Markets point person (along with outside counsel and sector specific counsel) for tracking and compliance with post-closing obligations

    • Assist with ad hoc requests from sector specific individuals regarding loan documents or loan related materials.

Qualifications:

  • Minimum of 5 years corporate paralegal/legal analyst experience

  • Bachelor's degree

  • Transaction paralegal experience

  • Notary public is a plus

  • Exceptional attention to detail

  • Proficiency in Microsoft Office

  • Strong organizational skills

  • Driven and hard working with the ability to work autonomously on projects or in a group setting

  • Exceptional interpersonal skills, highly team-oriented and a commitment to professionalism

  • Ability to interact comfortably with executives and senior management

  • Must be able to manage numerous projects simultaneously under deadline pressure
     

Salary Range: $110,000 - $130,000

Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive. Compensation decisions are based on a number of factors including relative experience, overall years of experience, industry experience, education, and designations.
