
Corporate Legal & Governance Specialist - Americas
Location: NYC/ Hybrid
As a Corporate Legal & Governance Specialist, you will oversee corporate governance for Payoneer's existing and new entities in the Americas region in managing our corporate portfolio. You will work closely with Employment Counsel, HR, and other key stakeholders to ensure compliance with local laws, mitigate risks, and align legal strategies with business goals.
What will you do?
- Maintain up-to-date registers and organizational charts for all entities
- Manage corporate documentation, including charters, articles of association, bylaws, and capital-related matters (capital changes, injection of funds, etc.)
- Maintain statutory registers and records
- Track and ensure compliance with applicable corporate legal and regulatory requirements, including periodic corporate filings (director changes, share transfers, capital increases, etc.) and annual reports
- Track and renew business licenses, permits, and other registrations
- Support the establishment and dissolution of entities globally
- Ensure intercompany agreements are in place
- Provide support and guidance to the board of directors, including preparing materials for board meetings, drafting resolutions, and advising on governance best practices
- Oversee relationships with local service providers (corporate secretary services)
- Collaborate with internal stakeholders (e.g., HR, finance, compliance) to ensure legal matters are aligned with the company’s objectives
- Collaborate with global legal teams to ensure consistent corporate legal practices across jurisdictions
- Ensure compliance with state and federal legal requirements anywhere in the US
- Handle employee registration and vendor management
- Manage regular authority check-ins and respond to regulatory notices within 30-day deadlines
- Develop and maintain a compliance calendar to monitor key deadlines and obligations
- Support payroll matters by ensuring legal compliance and timely filings
What Makes You a Great Match for Us?
- Educational Background: Bachelor's Degree required
- Expertise in Corporate Law: Experience in corporate law, particularly for private limited liability companies
- Experience in Legal Governance: 3+ years of experience in a global firm, with a focus on legal entity governance and regulatory reporting for European and American entities
- Knowledge of US State and Federal Laws: Strong understanding of legal requirements across different states and federal jurisdictions in the US
- Cross-border Communication: Experience liaising with foreign stakeholders and navigating multi-jurisdictional environments
- Multi-National Exposure: Experience working in large-scale businesses or multinational corporations
- Vendor and Regulatory Management: Proficiency in managing vendor relationships and handling regulatory notices
- Compliance and Reporting: Experience maintaining compliance calendars and managing annual report filings
- Payroll Assistance: Ability to support payroll matters and ensure regulatory compliance

In accordance with New York City Law, below is the annual base salary range for this position. Actual annual base salary is based on, but not limited to: experience, education, professional licenses, location and business needs. The position is eligible for health insurance, disability insurance, life insurance, 401k plan, paid-time off, and sick (and where applicable safe) leave. This position is also eligible for a discretionary year-end bonus.
The annual base salary range for this position is: $90,000-$120,000
