Job Description

We are seeking a highly motivated and qualified individual to join our Legal Department as a Corporate Paralegal and work as part of a team to drive success. Ideal candidates will be self-motivated, independent, committed to the generation of high-quality data within a fast-paced and innovative research team. We seek to add a Corporate Paralegal to provide support in all aspects of corporate governance.

The Corporate Paralegal will be a key member of the Legal Department, providing direct support to the Company’s Head of Legal in corporate governance, subsidiary management, board matters, and securities reporting, as well as providing support as needed to other attorneys and colleagues. The Corporate Paralegal will liaise as needed with other support and business functions to resolve issues.

In addition, the Corporate Paralegal will provide legal and administrative support for the Legal Department’s contracting activities and contracts database system, including template preparation, software administration, designing, implementing and maintaining efficient processes/policies, troubleshooting, and generating reports.

This position requires: the ability to work effectively with various functions and teams within the Company; and exceptional judgment and analytical skills. This role requires a candidate who has a demonstrated ability to multitask, is meticulous, is able to prioritize and reprioritize as needed to meet deadlines and is a team-focused collaborator.

Essential Responsibilities:

  • Draft and file documents related to ongoing corporate operations and corporate governance.
  • Assist with closings of venture capital financings, public offerings, acquisitions and mergers, and other corporate transactions.
  • Assist with stock option plan administration.
  • Assist with managing corporate subsidiaries, director and officer information, corporate record keeping, transaction execution, governance policies, and compliance processes.
  • Assist with coordination and preparation of board and committee meetings, minutes, and related documentation.
  • Draft, review and revise various contracts: Confidentiality Agreements, Vendor Agreements, Service Agreements, Work Orders, SOWs, Change Orders and other agreements under supervision of an attorney.
  • Draft, review and revise corporate policies, training materials and other legal documents.
  • Respond to calls and email regarding a variety of legal questions and matters.
  • Manage the Company’s contracts database system, including software administration, designing, implementing and maintaining efficient processes, troubleshooting, and generating reports. 
  • Assists with managing diligence and backup folders for public filings and financings.
  • Assists with managing and filing legal documentation relating to the Company’s subsidiaries.
  • Works with the Finance team on the Company’s financial filings and annual reports.
  • Performs administrative support duties as required including, but not limited to obtaining documents and signatures, as necessary.  
  • Perform research and compile data as requested by attorneys.
  • Help ensure adherence to relevant legal and regulatory requirements and company policies.
  • Provide paralegal support related to risk management and litigation activities; and
  • Provide such other legal and administrative support as directed by the Company.
  • Establish and maintain excellent working relationships with critical collaborative partners throughout the company.
  • Maintain all appropriate corporate standards for facility safety.
  • Other duties as assigned.

Qualifications:

  • Bachelor’s degree.
  • 5+ years of experience serving as a corporate paralegal at a biopharmaceutical company (ideally publicly traded) 
  • Understanding of project timelines and deliverables and plans/coordinate project work accordingly with departmental, functional, and external stakeholders.
  • Strong problem-solving skills and a proactive attitude towards exploring new approaches.
  • Highly professional, well organized, detail-oriented, positive attitude, and outstanding communication skills.
  • Demonstrated ability to properly handle confidential information and records and manage highly sensitive information.
  • Experience developing and/or implementing processes or tools that result in greater efficiency in the Legal Department.
  • Excellent written and verbal communication skills and effective presentation to cross-functional and senior management teams are essential for this role.
  • Proficiency working with Microsoft Office Suite Products.

Preferred Qualifications:

  • Paralegal Certificate

Compensation:

  • This is a full-time position, Monday-Friday, occasional overtime.
