
Position Summary:
Fried Frank is seeking to add a paralegal to support the Asset Management group within the Corporate practice. The paralegal will primarily assist with subscription document and uniform transfer agreement review duties for the Alternative Investments practice as described below, and will interact directly with Asset Management group partners, special counsel and associates in New York, Washington, D.C. and London offices, as well as with clients. They will be supervised by the partner who oversees the Alternative Investments subscription document review team, and they will administratively report to the paralegal manager of the Corporate practice.
Duties & Responsibilities:
- Support attorneys with review of subscription agreements by tracking status of documents and directing emails / inquiries to clients’ onboarding, sales and legal teams on a daily basis
- Daily correspondence with the subscription document legal review team for fund-specific issues
- Maintain spreadsheets that track investor data for a high volume of funds and perform reconciliation tasks with strict attention to detail
- Maintain records of investment documents across various online databases
- Facilitate reports and coordinate with the Form D and Blue Sky filers team to ensure timely distribution of closing notices
- Assist with closing activities such as flagging FOIA investors to internal and client teams handling primary investments, and monitoring the receipt of final orderbooks
- Oversee audit requests with internal teams and auditors to gather and submit required documentation accurately and within deadlines
- Manage incoming client emails to delegate “LET” transfer requests among SubDoc team
- Perform tasks required by clients on a quarterly basis, such as drafting billing spreadsheets and filing completed document packets in addition to preparing quarter-end transfer reports
- Collaborate with internal teams and client teams to implement and track key components of the subscription agreement review process, which vary on a fund-by-fund basis
Qualifications:
Education: Bachelor’s degree required.
Experience: A minimum of three (3) years of paralegal experience working on subscription agreements or within an Asset Management practice is strongly preferred. Otherwise, prior legal experience within financial services or a corporate legal setting is desirable. High proficiency with database management and Microsoft Excel is required.
Skills and Abilities: Must be able to effectively work and communicate with all levels of partners, attorneys, and staff. Must be able to keep information confidential. Requires effective written and verbal communication and strong organizational and interpersonal skills. Ability to handle and prioritize multiple assignments while working under pressure to meet important deadlines. Must be detail oriented; possess strong organizational skills, and a high degree of accuracy.
