
About the Opportunity
The Bill, Hillary and Chelsea Clinton Foundation (the “Foundation”) is seeking a highly motivated and detail-oriented Assistant General Counsel to join our legal team. This position will primarily focus on managing and negotiating contracts for the organization, ensuring that agreements align with Foundation objectives and mitigate legal risks. Reporting into the General Counsel, this position will also be responsible for maintaining a contracts management system and record keeping system for all contracts. In this role, the Associate Counsel will track and report on contract-related metrics, review and analyze contract requests, and assist with internal audit requests. The Associate Counsel will create and provide training to Foundation colleagues around contracts policies, procedures, and processes as well as risk management with regards to contracts.
In addition to contract work, this role will involve assisting with corporate governance matters and other compliance-related requests as they arise.

Key Responsibilities:
- Draft, review, and negotiate a wide variety of contracts, ensuring alignment with organizational objectives and legal requirements.
- Serve as a trusted advisor to internal clients, providing legal guidance on contractual matters and related risks.
- Collaborate effectively with cross-functional teams and provide legal counsel to Foundation initiatives and departments in a timely and efficient manner.
- Continuously improve legal processes and practices to support business growth and operational efficiency.
- Manage and prioritize multiple projects simultaneously while maintaining attention to detail and meeting deadlines.
The Legal Department furthers the Foundation’s mission by actively partnering with Foundation colleagues to foster strategic risk management, sound decision making and creative problem solving. Legal Team members work with Foundation colleagues to create Foundation wide policies, provide legal guidance, develop contracts, and research potential partners and donors.
This hybrid position is expected to be in our NYC office three days per week.
Core Responsibilities
- Oversee contracts management process including creation of templates, both administrative and substantive review, and coordination of edits and signatures. This includes assessment and oversight of contract management tools including technology. Interface with the Finance department around required documentation and notifications.
- Implement (if necessary) and provide oversight of contracts management system including being key administrator of system, training others on technology, introducing relevant efficiencies, running reports, organizing and uploading finalized contracts.
- General compliance and governance matters.
Minimum Qualifications
What we’re looking for:
- J.D. with admission to New York state bar
- 1 year experience in contracts law
- Preferred: 2-3 years of experience in contracts law with a solid understanding of corporate governance.
- Understanding of contracts management systems (Ironclad), general understanding and comfort with opining on legal risk particularly in transactional settings.
- Highly detail-oriented with a passion for contracts and a commitment to thoroughness.
- General political knowledge and exposure, especially of the Clinton administration and of the Clinton family.
Compensation & Benefits
Our best estimate of the compensation range for this opportunity is $110 - 120K annually, depending on the experience you bring. This role is not eligible for overtime pay. This range is based on NYC market rates and may be adjusted if you will be working remotely.
