ESSENTIAL DUTIES AND RESPONSIBILITIES

Lead the drafting, negotiation, and management of complex contracts, including provider, payer, vendor, and partnership agreements.

Responsibilities include corporate legal matters, including governance, SEC/public company requirements, and board activities.

Provide strategic guidance on healthcare and insurance regulatory issues, including compliance with federal and state laws and regulations.

Manage relationships with external counsel

Partner cross-functionally with Finance, Compliance, People, and Operations to mitigate legal risk and support company objectives.

Develop and implement scalable legal processes, policies, and templates to support operational efficiency.

Advise on corporate transactions, including mergers, acquisitions, and strategic investments.

Serve as a trusted business partner in executive decision-making, balancing risk management with business innovation.

J.D. from an accredited law school and active membership in good standing with a U.S. state bar.

Minimum of 7+ years in the practice of law, of a combination of full-service law firm and advancing in-house experience

Minimum of 5 years experience in healthcare law and/or health insurance
-
Deep experience in corporate law, healthcare contracting, and regulatory matters.

Prior experience in a public company or with public company governance strongly preferred.

Ability to lead and build high-performing legal teams.

Exceptional judgment, integrity, and business acumen, with the ability to operate strategically and tactically.

Excellent communication, negotiation, and leadership skills.
-
Background in health insurance, managed care, or healthcare delivery, large group employer medical and provider contracting.

Strong understanding of regulatory frameworks governing the health insurance industry, including HIPAA, ACA, ERISA, and state insurance laws

Experience managing regulator inquiries in the healthcare and/or health insurance space
-
Experience supporting a high-growth or innovative organization navigating regulatory complexity.

Pharmacy, PBM, provider-side and healthcare privacy experience a plus
